<br />of the Contractor to proceed with this Contract if: <br /> <br />1. It is found. after notice by the State, that gratuities in the form of entertainment. <br />gifts or otherwise were offered or given by the Contractor or any aoent or <br />representatives of the Contractor to any officer or employee of the State with <br />views towards securing a contract or securing favorable treatment with respect to <br />awarding, amending or the making of any determinations with respect to the <br />performmg of such contract. <br /> <br />2. The services of the Contractor, in the judgment of the State, are unsatisfactory or <br />because of the Contractor's failure to prosecute the work with diligence or within <br />the time limits specified. <br /> <br />If the agreement is terminated by the State, as provided herein, all finished or unfinished <br />documents. data, studies. surveys, drawings, maps, models. photographs, and reports or other <br />material prepared by the Contractor under the contract shall at the option of the State, become its <br />property, and the Contractor shall be entitled to receive just and equrtable compensation for any <br />services and supplies delivered and accepted. The Contractor shall be obligated to return any <br />payment advance under the provisions of this contract. <br /> <br />2.16 PROPRIETARY RIGHTS: The Contractor agrees to and does hereby grant to all State agencies. <br />political subdivisions of the State and the United States Government IITevocable, nonexclusive. <br />nontransferable and royalty-free license to use, according to law, any material or article and use <br />any method that may be developed as a part of the work under this Contract. The Contractor <br />shall be permitted to use, according to law. any material or article and use any method that may <br />be developed as a part of the work under this Contract elsewhere in connection with work for any <br />other political subdivision of the State, as well as the United States Government. <br /> <br />2.17 PERMITS AND LICENSES: The Contractor shall procure all permits and licenses, pay all <br />charges. fees and taxes and incidentals that may be required for the lawful prosecurion of the <br />work. <br /> <br />2.18 WAIVER: Any waiver by any party hereto with regard to any of its rights hereunder shall be in <br />writing and shall not constitute or act as a waiver to any future rights which such party might <br />ha ve hereunder. <br /> <br />2.19 ACCESS TO DOCUMENTS: Subject to the provisions of the Colorado Open Records Act. <br />Sections 24-72-10 1 et seq., CRS. the Contractor shall be entitled to the full cooperation of the <br />State with regard to access to existing documents in the possession of or under the control of the <br />agency that may be reasonably required for the lawful prosecution of the contract. <br />
