<br />VI. ARBITRATION: <br /> <br />The parties acknowledge and agree that they hold a <br />position of responsibility and trust with respect to the <br />residents of Silver Plume, Georgetown and the Dist~ict. In order <br />to insure continuance and uninterrupted service to users, the <br />parties agree that no controversy, dispute, or breach agreement <br />shall justify or permit termination of the continuing obligations <br />of this agreement. In the event of a controversy, dispute, or <br />breach, the same shall be submitted to arbitration before an <br />arbitration panel comprised of a representative appointed by <br />Silver Plume, and the District/Georgetown, and a third arbitrator <br />to be selected by the prior two arbitrators. The arbitration <br />panel shall have authority to determine its procedures, to decide <br />any and all disputes arising under this agreement, and its <br />ultimate decision shall be enforceable in accordance with the <br />Uniform Arbitration Act adopted by the state of Colorado. <br /> <br />VII. TERM OF AGREEMENT: <br /> <br />This agreement shall be in full force and effect <br />for a period of 20 years from the date first above written, <br />unless sooner terminated. <br /> <br />VIII. TERMINATION: <br /> <br />(Al Any party hereto may terminate this agreement <br />by giving 24 months written notice to the other party of its <br />intention to terminate. Upon expiration of the term of this <br />agreement, this agreement shall automatically terminate unless <br />extended by agreement of the parties. <br /> <br />(B) Neither party shall have the right to <br />terminate this agreement for non-payment. In the event of <br />non-payment by either party, the other party, in addition to the <br />rights 'provided in paragraph VI, may ask a Court of general <br />jurisdiction to enter a writ of Mandamus to compel the Board of <br />the defaulting party to levy a mill levy sufficient to pay all <br />sums due and owing hereunder. <br /> <br />(C) In the event of breach of any provision of <br />this agreement, any party may seek from any cou~t of competent <br />jurisdiction in addition to the rights provided in paragraph VI <br />above, a temporary restraining order and preliminary injunction <br />pending arbitration to compel the other party to conform <br />according to the obligations set forth in this agreement. <br /> <br />IX. MISCELLANEOUS: <br /> <br />(A) Waiver of any breach of any provision of this <br />agreement by any party shall not constitute a continuing waiver <br /> <br />7 <br /> <br />._. .--~_._-_..,,-._-"-" <br /> <br />.,r <br />. <br />
