<br />Section 2.1. C}~J\CTER OF USE. That it will, at its entire <br />expense and risk, use the Premises solely and only for the uses and purposes <br /> <br />specified in Section 1.1 hereof. <br /> <br /> <br />Section 2.2. CONSTRUCTION AND MAINTENANCE. That it will, at <br /> <br /> <br />its sole cost and expense, construct or cause to be constructed, maintain <br /> <br /> <br />and use the Improvements and appurtenances in such a manner and of such <br /> <br />material that they will not at any time be a source of danger to or inter- <br /> <br />ference with the present or future tracks, roadbed and adjacent property of <br /> <br />the Santa Fe or the safe operation of its railroad. All work in connection <br /> <br />with the Improvements shall be performed in accordance with plans which <br /> <br />shall be submitted to and approved by the Santa Fe. <br /> <br />Whenever it shall become necessary, in the construction, mainte- <br /> <br />nance or use of the Improvements to install, reiocate or make any changes <br /> <br />or alterations in fences, signal, power or communication pole and wire lines, <br /> <br />drainage or any other facilities of the Santa Fe upon the Premises or any <br /> <br />other property of the Santa Fe, such installations, changes or alterations <br /> <br /> <br />shall be made by the Santa Fe at the sole cost and expense of the District, <br /> <br /> <br />and cost thereof shall be paid by the District within twenty days after <br /> <br /> <br />rendition of bills therefor. <br />Section 2.3. LIABILITY. The District shall indemnify and save <br /> <br />harmless the Santa Fe against all claims, demands, actions or causes of <br /> <br />action, arising or growing out of the loss of or damage to property or injur; <br /> <br />to or death of persons, resulting in any manner from the construction, mainte- <br /> <br />nance, lack of maintenance, use, state of repair or presence of the Improvements <br /> <br />upon the Premises, and will promptly pay to the Santa Fe the full amount of <br /> <br />any loss or damage which the Santa Fe may sustain, incur or become liable for, <br /> <br />and all sums which Santa Fe may payor be compelled to pay in settlement of <br /> <br />any claims On account thereof. <br /> <br />- 3 - <br />
