Revised Plan of Study

Dear Mr. Ioannides and Mr. Walker:

Our Plan of Study, as amended on March 23. 1987, is attached.

The current indemnification clause of the State of Colorado is satisfactory.

The method of payment of 60 percent of the total due upon completion of the
work and the final 40 percent due upon acceptance is satisfactory. We will
provide monthly statements to you during the course of the work as a record of
professional services performed and expenses incurred which will assist in any
subsequent audit work performed.

This Plan of Study is carried through Phase I, Project Feasibility, as
requested. We understand that if the project proceeds to the design and
construction phase that the Wright Water Engineers team contract will be
amended to include that work.

Our team of Robert Seams, W. Joseph Shoemaker, Gary Lacy, AI Von Bachmayr,
Davis Graham & Stubbs. and Wright Water Engineers is ready to proceed.

Very truly yours,
WRIGHT WATER ENGINEERS, INC.

A.

,

By
Kenneth R.
Chief Eng

ight, P.E.
er

(C87.5,4,3l
831-036.080
