<br />WHEREAS, the Contractor is capable and desires to perform the s'lrvices. <br /> <br />NOW THEREFORE it is agreed that: <br /> <br />1. Scope of Wor1c - The Contractor agrees to cany out the scope of work desClibed in each of <br />its application packages for emergency manag.lment related activities, as approved by the <br />State in its grant award le1~er, and to do so in cc,nfonnance with this contract and applicable <br />federal and state laws, lrules, and rElgulationSi pertaining to each specific grant. Grant <br />applications and award letters will become a part of this contra,ct until such time as the grant <br />is closed out. <br /> <br />2. Time of Performance - This contract shall C(~mmence on , JULY 28. 1997 and shall <br />continue for a period of fiVEl years as long as the State continu'ls to designate the Contractor <br />as an eligible recipient of funds and continues to make an allocation of funds to the Contractor. <br />Grant award letters for ea<:h specific grant will idElntify the performance period for that grant. <br /> <br />3, Compensation and Metlhod of Pavmen~ . The State agnles to pay the Contractor in <br />consideration for the work and services to be perfonned an amount as specified in the grant <br />award letter. Payment to be made to the Contnictor on a quarterly basis unless otherwise <br />indicated, based on an il1voice summarizing those legitimately incurred e:<penses. The <br />Original supporting documE.ntation will be maintained by the Col1tractor. State warrant will be <br />issued for reimbursement of eligible expenses. <br /> <br />4, AccountinQ - At all time:;, from the effective dI..te of this contract until completion of this <br />project, the Contractor shall maintain properly I;egregated books of State funds, matching <br />funds, and other funds associated with this pmject Contractor shall be reSiponsible for <br />accounting for and reporting on any required m,ltdl funding as indicated in the grant award <br />letter. Records shall be ma,intained in accordance with applicable local and State procedures, <br />and appropriate OMS circulars. <br /> <br />5. ReoortinQ - The Contractor shall meet all reportin>l requirements in accordanc'~ with the then <br />current program policies, and any subsequent forms and relateel program policies; as required <br />by the federal government or the State Division IJf Local Govemment (OEM). <br /> <br />6. Audit ReQuirements - The Contractor must follow the financial and compliance audit <br />requirements of OMS Circular A-128 or A-133, whichever is applicable, adhering to the most <br />current version of the circul;3r. The audit must be performed by 13 Certified Public Accountant, <br />or a licensed public accountant. Audit reports arEl due yearly. The Contractor's audit period <br />will be January 1 through Clecember 31. Three ccopies of each audit report Shiill be provided <br />to the State by the Contractor no later than 180 days after thEl end of the audit period. No <br />grant of funds under an approved project will be c~osed until a financial and compliance audit <br />are received covering the entire project period. The State may withhold up te, 10 percent of <br />the grant funds pending receipt of such audits. <br /> <br />7. Personnel - The ContractOi' shall perform its dutiEl'S hereunder as a Contractor and not as an <br />employee. Neither the Cc,ntractor nor any agent or employee of the Contractor shall be or <br />shall be deemed to be an agent Dr employee of thE' State. Contractor shall pay, when due, all <br />required employment taxE.S and income tax withholding, shall provide and keep in force <br />worker's compensation (and show proof of such insurance or self-insurance), and <br />unemployment insurance in the amounts required by law, and I;hall be solely responsible for <br />the acts of the Contractor, its employees, and aglents to the e~1ent applicable. <br /> <br />Page..1_ of .JL Pages <br />
