Overall management for
internal operations is by Nancy B. Love as Chief Executive Officer. Overall engineering
supervision is directed by David 1. Love, P.E as principal engineer.

The functions are outlined at the inception of any project undertaken by this firm. Once
the functions have been identified, tasks are dispersed between in-house staff and
subconsultants, where necessary. Management of all tasks is overseen and carefully
managed throughout the process. Involvement of the client in the process is also a key
function of the overall project success. The client is always kept abreast, on a regular
basis, of decisions being made and involved at all key points during the process whether
it is the preparation of construction documents or the undertaking of a master plan or an
analysis.

Love & Associates has been providing water resource consulting for sixteen years in the
State of Colorado. We relocated our headquarters to a new commercial building in Old
Town Louisville and plan on expanding the building to allow for present and future
growth. We have been a very successful engineering consulting firm because our client
is always Number One and because we perform only the highest quality of engineering
services for reasonable fees in a timely fashion.

Love & Associates' has set up a Design Quality Assurance Plan which is a program for
managing the many variables that enter into producing a quality engineering product for
our clients. Our plan assures our clients the project is started in the right direction with
the correct information and framework for all future decision making activities. It clearly
states and establishes the goals of the project and sees that they are met throughout the
execution of the project. It includes a disciplined, directed management of staff;
technical production; cost control; decision making; client interaction; and design
activities to produce the desired results.

The quality assurance plan of Love & Associates, Inc. is designed to maintain high
professional standards in all aspects of data collection, investigations, analysis, design,
review and reporting. The goal of our plan is to provide clients with documents that are
cost effective, reliable, and defensible due to detailed documentation developed during
the course of the project.

Overall quality assurance responsibility lies with the principals of Love & Associates,
Inc. The principals act as the client's representative on the internal design team, assuring
that the goals and needs are understood and complied with. The principal directs and
orchestrates the efforts of the project team towards a common goal and sees that
decisions and products are produced at the proper time and in the proper sequence.

The total cost of a project involves the factors of initial cost, maintenance and operating
costs, and replacement cost for the length of time the facility is required to be in
operation. We believe that the total cost of a project is a professional responsibility of
the designer requiring a creative element of practice. Total cost control is yet another
part of thc design quality assurance plan of Love & Associates, Inc.

-11-
