Number: PDA <br /> <br />STATE OF COLORADO <br />CONSULTANT AGREEMENT <br /> <br />PROJECT NUMBER: <br /> <br />THIS AGREEMENT made this ~ J day of () rJ:o;v /f ' in the yea~ by and between the State of <br />Colorado, acting by and througti'iheColorado Water Conservation Board, hereinafter referred to as the <br />Principal Representative, and McLauahlin Water Enaineers. Ltd. hereinafter referred to as the Consultant. <br /> <br />WHEREAS,authority exists in the Law and Funds have been budgeted, appropriated, and otherwise made <br />available, and a sufficient unencumbered balance thereof remains available for payment in Fund Number <br />424, Appropriation Number N97, Contract Encumbrance Number C153809. Object Code 1920, FSC - <br />PD005, Grant Number N97SB97-008, GBL SWRF, Program WTRC; and <br /> <br />WHEREAS, required approval, clearance and coordination has been accomplished from and with <br />appropriate agencies; and <br /> <br />WHEREAS, the Principal Representative intends to perform Professional Service for the 'Statewide River <br />Rehabilitation and Floodplain Manaaement Needs Inventorv hereinafter called the Project; and <br /> <br />WHEREAS, the Consultant was selected and determined to be the most qualified, and fees negotiated in <br />accordance with the provisibns of C.R.S. ~24-30-1401 et seq; and <br /> <br />NOW THEREFORE, it is hereby agreed that <br /> <br />ARTICLE 1. SCOPE OF WORK <br /> <br />The Consultant, in consideration of State's promises hereinafter made, promises to perform and accomplish <br />all the work and services proposed, and in accordance with the terms and conditions set forth in the scope of <br />work description and proposal dated September 30. 1997, which documents are attached hereto and made a <br />part hereof by reference as Exhibit' A'. Consultant shall undertake and perform the necessary work and <br />services as is customarily done in the professional practice of architecture/engineering/consulting in the <br />community for undertakings of similar character, scope and magnitude. <br /> <br />ARTICLE 2. <br /> <br />COMPENSATION <br /> <br />In consideration for the performance of the said work and services, Principal Representative agrees to pay to <br />Consultant fees and charges not to exceed Ninetv-five Thousand dollars ($ 95.000.00). The total fees and <br />expenses shall be payable upon completion of the work and services and acceptance by the Principal <br />Representative. Payment shall be made against Application for Payment (State of Colorado Form SC-7.1), <br />submitted in triplicate. <br /> <br />ARTICLE 3. <br /> <br />CONSULTANT CERTIFICATION <br /> <br />In accordance with Title ~24-30-1404 (1), C.R.S., the Consultant has executed a certificate, which is attached <br />hereto and made a part hereof by reference as Exhibit 'C', stating that wage rates (Exhibit 'B") and other <br />factual unit costs supporting the compensation paid by the State for these professional services are aGCurate, <br />complete, and current. The original contract price and any additions thereto shall be adjus.ted to exclude any <br />significant sums by which the State determines the contract price has been increased due to inaccurate, <br />incomplete, or non-current wage rates and other factual unit costs. All such contract adjustments shall be <br />made within one year following the end of this contract. <br />
