<br />. <br /> <br />. <br /> <br />ARTICLE XIII -. TERMINATION OR SUSPENSION <br /> <br />a. This Agreement shall terminate at the completion of the Study, provided that, prior to <br />such time and upon sixty days written notice, either party may terminate this agreement <br />without penalty, <br /> <br />b. Within ninety days upon termination of this Agreement, the Government shall prepare <br />a final accounting of the costs of the services, which shall display disbursements by the <br />Government of Federal funds and cash payments by the Sponsor. Within thirty days after the <br />final accounting, the Government shall reimburse the Sponsor for cash payments that exceed <br />the total cost of services, Within thirty days after the final accounting, the Sponsor shall <br />provide the Government any cash payments required to meet the Sponsor's required share of <br />the total cost of services. <br /> <br />ARTICLE XIV .- EFFECTIVE DA TE <br /> <br />This Agreement is effective on the date of the signature by both parties, and shall remain in effect <br />until all services described in the Scope of Services have been provided to the Sponsor, or upon <br />termination by the Parties, <br /> <br />ARTICLE XV -- SEVERABILITY AND ASSIGNMENT <br /> <br />a, To the extent that this agreement may be executed and performance of the obligations of the <br />parties may be accomplished within the intent of the Agreement, the terms of this Agreement <br />are severable, and should any term or provision hereof be declared invalid or become <br />inoperative for any reason, such invalidity or failure shall not affect the validity of any other <br />term or provision hereof. The waiver of any breach of a term hereof shall not be construed as <br />waiver of any other term. <br /> <br />b, Neither party may assign its rights or duties under this agreement without the prior written <br />consent of the other party, <br /> <br />ARTICLE XVI -- NOTICES <br /> <br />All notices, correspondence, or other documents required by this agreement shall be delivered or <br />mailed to the following addresses: <br /> <br />For the State: <br /> <br />Colorado Water Conservation Board <br />Flood Protection Program <br />1313 Sherman Street, Room 721 <br />Denver, CO 80203 <br />Attn: Tom Browning <br /> <br />For the Corps: <br /> <br />U.S. Army Corps of Engineers <br />Floodplain Management Services <br />215 North 17th Street <br />Omaha, Nebraska 68102 <br />Attn: Tom Gorman <br /> <br />5 <br />
