<br />I <br />I <br /> <br />I <br />i <br /> <br />I <br />I <br />I <br />I <br />I <br /> <br />I <br />I <br /> <br />I <br />I <br /> <br />I <br /> <br />I <br />I <br /> <br />I <br />I <br />I <br /> <br />disputes; (c) acts of God; (d) detrimental acts of owner; (e) acts of another <br />contractor in the performance of related work under a separate contract with <br />Owner; (f) delays resulting from the intervention of governmental agencies in <br />the performance of work on the Project, if not caused by Contractor; or (g) <br />other circumstances, acceptable to Owner, beyond Contractor's reasonable control, <br />Weather delays which could or should have been anticipated or failures in <br />delivery of equipment or materials shall not constitute cause for an extension <br />of time to complete performance or adjustments to the Agreement Price resulting <br />therefrom, Requests for extension of time to complete performance shall be <br />submitted in writing in accordance with the Contract Documents. <br /> <br />Section 9. Default. At any time Owner may notify Contractor, in writing, of <br />grounds for default upon the occurrence of any event specified in the Contract <br />Documents as grounds for Owner's termination of the Agreement. If Contractor <br />shall not remedy or otherwise correct the grounds for default within seven (7) <br />days, or such additional period of time specified by Owner, after receipt of <br />such notice, Owner may thereafter terminate this Agreement and direct Contractor <br />to discontinue any further performance on the Project, and Contractor shall then <br />immediately stop all work on the Project and forfeit all rights hereunder. Owner, <br />in its discretion, may request the surety of Contractor to complete the Project, <br />or may request that surety contract with others to perform such work at the <br />expense of Contractor and its surety, In the event that surety should fail to <br />commence completion of the Project or contract with others to perform such work <br />within thirty (3D) days of Owner's request, Owner may contract with others to <br />perform such work at the expense of Contractor and its surety. Any increase in <br />costs over and above the Agreement Price and any special damages incurred by <br />Owner as a consequence of such default, including reasonable attorney's fees, <br />shall be paid and satisfied in full by Contractor and its surety. <br /> <br />Section 10. Taxes, Licenses, Permits and Regulations. In all operations con- <br />nected with the Project, Contractor shall pay all fees, charges and taxes <br />imposed by law, and shall obtain all licenses and permits necessary for com- <br />pletion of the Project, paying all fees therefore unless otherwise specified <br />by the Architect. Architect and Owner shall assist Contractor to determine which <br />licenses and permits are not required for completion of the Project. Contractor <br />shall not be reimbursed for fees paid by Contractor for licenses and permits not <br />required. If fees for licenses and permits not required are included in the Bid <br />Price, the Agreement Price shall be reduced by the amount of any such fees for <br />licenses and permits not required. Owner is exempt from Colorado State Sales <br />and Use Taxes on materials to be permanently incorporated in the work. Accord- <br />ingly, taxes from which Owner is exempt shall not be included in the Agreement <br />Price. Owner shall, upon request; furnish Contractor with a copy of its Certi- <br />ficate of Tax Exemption. <br /> <br />Contractor and subcontractors shall apply to the Colorado Department of Revenue, <br />Sales Tax Division, for an exemption certificate and purchase the materials <br />tax free. Pursuant to Subsection 39-26-114(1){a){XIX), C.R.S., Contractor and <br />subcontractors shall be liable for exempt taxes paid due to failure to apply <br />for exemption certificates or for failure to use said certificates. <br /> <br />Contractor shall comply with all laws, ordinances, codes, rules and regulations <br />of all governmental authorities, whether local, state or federal, relating to <br />the performance of work on the Project and, partiCUlarly, in complying with <br />those laws concerning the environment, worker's compensation, safety and health, <br />state labor and materials, and equal employment opportunity. <br /> <br />A-3 <br />
