<br /> <br />amount due the Contractor by reason of the <br />termination. <br />(d) Payment. Subject to paragraph (c) above, <br />the Contractor and Engineer may agree <br />upon the whole or any part of the amount to <br />be paid to the Contractor because of the <br />termination. The amount may include <br />reasonable cancellation charges incurred by <br />the Contractor. The amount may also in- , <br />elude any reasonable loss upon outstanding i <br />commitments for subcontracts which the i <br />Contractor is unable to cancel, provided the ' <br />Contractor has made reasonable effort to <br />divert the commitments to other activities. . <br />The amount agreed upon shall be embodied : <br />in a Contract Modification Order and the ' <br />Contractor shall be paid that amount. <br />Payments claimed and agreed to pursuant ; <br />to tsrmination shall be based on the Contract ; <br />unit prices. Payment for partially completed ; <br />lump sum items may be made in the propor- ; <br />tion that the partially completed work is to. <br />the total lump sum item. Where work per- . <br />formed is of a nature that it is impossible to . <br />separate the costs of uncompleted work from <br />completsd units, the Contractor will be paid <br />the actual cost incurred for the necessary <br />preparatory work and other work <br />accomplished. , <br />The Division may from time to time, under i <br />terms and conditions it may prescribe, make <br />partial payments against costs incurred by <br />the Contractor in connection with the con- . <br />tract termination. The total of such pay-, <br />ments shall not exceed the amount, as deter- : <br />mined by the Engineer, the Contractor will; <br />be entitled to hereunder. . <br />(e) Disposition of Work and Inventory. The' <br />Contractor shall transfer title and deliver to! <br />the Division, as directed by the Engineer,' <br />such items which, if the Contract had been; <br />completed, would have been furnished to the. <br />Division including: <br />(1) Completed and partially completed work; i <br />and <br />(2) Materials or equipment produced or in: <br />process or acquired in connection with! <br />the performance of the work terminated! <br />by the notice. . . <br />Other than the above, any termination, <br />inventory resulting from the contract termi- <br />nation may, with written approval of the <br />Engineer, be sold or acquired by the Contrac-, <br />tor under the conditions prescribed by and at <br />prices approved by the Engineer. The proj <br />ceeds of any such disposition shall be applied <br />to reduce any payments to the Contractor <br />under this Contract, or shall otherwise be <br />credited to the cost of work covered by thiE! <br />Contract, or paid in a manner as directed by <br />.32 <br /> <br />the Engineer. Until final disposition, the <br />Contractor shall protect and preserve all the <br />material related to this Contract which is in <br />his possession and in which the Division has <br />or may require an interest. . <br />(f) Cost Records. The Contractor agrees to <br />make cost records available to the extent <br />necessary to determine the validity and <br />amount of each item claimed. <br />(g) Contractual Responsibilities. Termination <br />of a Contract or portion thereof shall not <br />relieve the Contractor of contractual <br />responsibilities for the work completed, nor <br />shall it relieve the Surety of its obligation for <br />and concerning any just claim arising out of <br />the work performed. <br /> <br />SECTION 109 <br />MEASUREMENT AND PAYMENT <br /> <br />109.01 Measurement of Quantities. All <br />work completed under the Contract will be measured <br />by the Engineer according to United States standard <br />measure. <br />A station when used as a definition or term of <br />measurement will be 100 linear feet. <br />The method of measurement and computations to <br />be used in determination of quantities of material <br />furnished and of work performed under the Contract <br />will be those methods generally recognized as con- <br />forming to good engineering practice. <br />Unless otherwise specified,longitudinal measure- <br />ments for area computations will be made horizon- <br />tally, and deductions will not be made for individual <br />structures having an area of 9 square feet or less. <br />Unless otherwise specified, transverse measure- <br />ments for area computations will be the neat dimen- <br />sions shown on the plans or as ordered in writing by <br />the Engineer. <br />Structures will be measured according to neat lines <br />shown on the plans or as altered to fit field condi- <br />tions. <br />Items which are measured by the linear foot, such <br />as pipe culverts, guardrail, underdrains, etc., will be <br />measured parallel to the base or foundation upon <br />which the structures are placed, unless otherwise <br />shown on the plans. <br />In computing volumes of excavation and embank- <br />ment, the average end area method or other accept- <br />able methods will be used. <br />The term "gage," when used in connection with the <br />measurement of plates, will mean the U.S. Standard <br />Gage. <br />When the term "gage" refers to the measurement <br />of wire, it will mean the wire gage specified in ASTM <br />A 510. <br />The term "ton" will mean the short ton consisting <br />of2,OOO pounds avoirdupois. All materials which are <br />measured or proportioned by weight shall be <br /> <br />
