<br />Stagecoach Reservoir, a/k/a Bear Reservoir

<br />In 1977-1978, Colorado-Ute Electric Association, Inc.
<br />(Colorado-Ute) acquired properties known as the Bear Reservoir
<br />Propertie$, consisting of the necessary land and water rights for
<br />construction of a 25 to 30 thousand acre feet reservoir in the
<br />upper drainage of the Yampa River, downstream from the now exist-
<br />ing Yamcolo Reservoir. These properties are being held by
<br />Colorado-Ute for future development for utility purposes. How-
<br />ever, in view of the fact that since such acquisitions, Colorado-
<br />Ute has acquired a number of additional direct flow rights in the
<br />Yampa River, Colorado-Ute nas no plans to develop the Bear Reser-
<br />voir Properties at the present time or in the foreseeable future.

<br />The Upper Yampa Water Con~ervanc:i District (Upper Yampa
<br />District), some two or three years ago, completed the construction
<br />of the Yamcolo Reservoir. The Upper Yampa District, for the bene-
<br />fit of water users within such District, desires to proceed with
<br />the immediate construction of the Bear Reservoir--to be re-named
<br />the Stagecoacn rte:::,er. voi r---P1.-0iiided. GiPi?r'op:-iate a~r?_ngell1.pnts can be
<br />wor~ed out with Colorado-Ute. Colorado-Ute is interested in work-
<br />ing out SUCh arrangements.

<br />A number of discussions concerning these matters have taken
<br />place between representatives of Colorado-Ute and the Upper Yampa
<br />District. At such a discussion meetin'j held in Nontrose on
<br />December 20, 1982, a conceptual agreement as to the participation
<br />of Colorado-Ute in the project was reached between the representa-
<br />tives of the parties, and Colorado-Ute agre€d, pursuant thereto,
<br />to prepare and submit to the Upper Yampa District a letter setting
