CONTRACT FOR AND CONVEYANCE OF EASEMENT

THIS CONTRACT, made and entered into at Denver, Colorado,
this day of , 1995, by and between the State of
Colorado, acting by and through the Department of Natural Re-
sources, for the use and benefit of the Colorado Water Conserva-
tion Board, 1313 Sherman street, Denver Colorado, 80202, herein-
after referred to as "Grantor", and the South Suburban Park and
Recreation District, 6315 South University Boulevard, Littleton,
CO 80121, hereinafter referred to as "Grantee" or "Contractor".

WHEREAS, the Grantor is an agency of the State of Colorado
created and controlled by Title 37, Article 60, C.R.S. (1989),
which functions for the welfare and benefit of the State of
Colorado and its inhabitants; and,

WHEREAS, the Grantee is a Metropolitan Park and Recreation
District created and controlled by Title 32, Article 1, C.R.S.
(1989), whose purpose is to serve a pUblic use and promote the
health, safety, prosperity, security and general welfare of the
inhabitants within its jurisdictional boundaries; and,

WHEREAS, the Grantor is authorized to enter into this
agreement pursuant to the aforementioned statute; and,

WHEREAS, the Grantee is authorized to enter into this
Agreement pursuant to the aforementioned statute and its Rules
and Regulations, provided that a Resolution is duly passed by its
Board of Directors; and,

WHEREAS, the united States Army Corps of Engineers, herein-
after referred to as the "Corps", has constructed improvements to
the flow of water in the channel of the South Platte River,
hereinafter referred to as the "River", in ArapahOe County, State
of Colorado. Said improvements are known as the South Platte
River Channelization Project, hereinafter referred to as the
"project" and were authorized by the Flood Control Act approved
