The estimated total cost
of the project is $374,000. Please see the attached project summary and map.

Backaround
The JLRIC, located in Morgan and Weld Counties, operates the Jackson Lake Reservoir for the
benefit of the shareholders by providing storage of irrigation water. The reservoir is filled through
an existing diversion and inlet ditch system. Water deliveries are made through the reservoir outlet
ditch to the South Platte River from which shareholders divert into their irrigation ditches. The
JLRIC inlet diversion suffered severe damage in 1995 and again in 1999, when the river cut
around the south abutment. The JLRIC wants to rehabilitate the diversion.

Feasibility Studies
The JLRIC retained Jack Odor P.E., of GAS.P., to conduct a feasibility study. The study was
completed September 1999 and includes an assessment of alternatives available for rehabilitation
of the river diversion.

The Jackson Lake Reservoir and Irriaation Companv
The JLRIC is a mutual ditch company and a non-profit corporation registered in the State of
Colorado. There are 90 shareholders and 1,550 shares of stock. The JLRIC has the power to
set annual assessments to be paid by the shareholders, the power to cut off water deliveries to
shareholders that fail to pay their assessments, and the power to offer stock for sale to pay
back assessments. The JLRIC delivers water to a 17,OOO-acre service area located in the
vicinity of Fort Morgan.

Water Riahts
The Company's water rights consist of a 1901 storage decree for 35,629 acre-feet, and a 1929
refill decree for 8,270 acre-feet from the South Platte River. Records of the State Engineer's
Office indicate that average annual diversions have been 34,000 acre-feet for years 1988
through 1998.
