<br />5, <br /> <br />This Agreement may be tenninated by the OWNER without cause upon fifteen (15) days <br />written notice to ENGINEER. ENGINEER may terminate th.is,Agreement upon fifteen <br />(15) days written notice if it is not being compensated for its services and it has first <br />given fifteen (15) days written notice of such intention and the claimed dispute is not <br />resolved within such period of time. The ENGINEER shall be compensated for all work <br />conducted up to the date of the written notice of tennination is received. The ENGI- <br />NEER shall also be compensated for any work, beyond that date, requested by the <br />OWNER to provide information, summaries, reports, or drawings associated with work <br />completed by the ENGINEER. <br /> <br />6. Copies of all drawings, including sketch plans, topographic maps, preliminary and final <br />plats, reports, and other documentation prepared by the ENGINEER shall be turned over <br />to the OWNER upon the request of OWNER. ENGINEER is entitled to keep originals of <br />same. Any drawings, sketches, plans, topographic maps, preliminary or final plats, <br />reports, and other documentation prepared by the ENGINEER may be used by the <br />OWNER but ENGINEER shall be responsible only for work actually performed by it. <br />ENGINEER, should it not be involved in the design and construction phase of the <br />project, shall provide reasonable cooperation to the OWNER with regard to the work <br />ENGINEER performed and shall be entitled to reasonable compensation for any such <br />services requested, <br /> <br />7. <br /> <br />The "Feasibility Study" shall be completed and submitted to the Colorado Water <br />Conservation Board (CWCB) in such format as it requires. The report shall follow the <br />guidelines of the CWCB and shall be acceptable to the CWCB. Any revisions to the <br />study as required to meet the CWCB requirements shall be at the sole expense of the <br />ENGINEER. <br /> <br />8. This Agreement is not assignable. It is binding upon the parties, their legal representa- <br />tives, and successors. This Agreement contains the entire Agreement between the <br />parties. No addition or amendment shall be effective unless reduced to writing and <br />signed by the parties. <br /> <br />9, It is understood that while OWNER, if it receives a "Feasibility Study" which is <br />acceptable to it and which is approved by the Colorado Water Conservation Board, may <br />proceed with the work, However, OWNER is not obligated to continue with the renova- <br />tion even if a favorable feasibility report is received and it is not obligated to use <br />ENGINEER after the completion of the "Feasibility Study". Likewise, ENGINEER is <br />not obligated to accept any engineering duties should there be rehabilitation of the <br />Foothills Reservoir Dam and its associated structures, <br /> <br />10, This Agreement shall be governed by the laws of the State of Colorado and shall be <br />binding on the parties and their legal representatives, <br /> <br />Foothills Reservoir-Feasibility Study <br /> <br />Page 2 <br /> <br />1 <br /> <br />e <br /> <br />e <br /> <br />e <br />
