~OWt THEREFORE, in consideration of the respective

promises and aqreement~ hereinaft~r set forth "the-State and

the Contryctor agree DS fo110W5:

1. Tne Contractor shall:

D_ upon notice to proceed given in writing by the

State, initiate and diliqentl.y carry to completion appropri-

ate exch~nge ~roced~res as may be permitted by law and such

court ~(ocecdings as. may be necessa~~ to change sufficient

of its decr~ed direct flow and storage rights so as to permit

the type of regulation and re-regulation contemplated herein.

wat~r appropriated for municipal purposes, to replace evapo-

ration losses fronl the reiervoir, and otherwise to carry

out .tnc purposes of this. -contracti provided tha-t:

1) Contractor shall have the sole and exclusive

right to regulate for its own uses and purposes

the amount of water stored in the reservoir

between the lower limit of 15,349 acre-feet {ele-
