after the completion of the Services. CFWE shall retain all such account books and records for at least
two years after the completion of the Services.

18. Assi~nment and Subcontractin~. CFWE shall not assign or subcontract to any other
person or firm the performance of all of the Services hereunder without the prior written approval of
CWC; provided, however, that this provision shall not require CWC approval for CFWE to contract
with third parties for the provision of routine services such as printing, ttansportation, advertising,
public relations, legal services, and similar items. All work under this Agreement shall be performed
under CFWE's direct supervision and control. This Agreement shall bind and inure to the benefit of
the parties hereto and their respective successors and assigns. This Agreement is intended to benefit
only the parties hereto and neither subcontractors nor suppliers of CFWE hereunder nor any other
person or entity is intended by the parties hereto to be a third party beneficiary of this Agreement.

19. Governin~ Law. This Agreement shall be interpreted in accordance with, and be
governed by, the law of the State of Colorado.

20. Notice. All notices required to be given under this Agreement shall be in writing, and
shall be deemed to have been duly given (a) when delivered personally to the other party to whom
addressed or (b) upon receipt when sent by United States mail, postage prepaid, as certified or
registered mail, properly addressed as follows or (c) upon confirmation when sent by facsimile
transmission and receipt is confirmed by return facsimile transmission:

or to such other persons or addresses as the foregoing addressees may designate by written notice.

21. Entire Al1reement. This Agreement constitutes the entire agreement between CWC
and CFWE regarding the subject matter hereof and replaces all prior written or oral agreements and
understandings. It may be altered, amended, or repealed only by a duly executed written instrument.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the day and year
