<br />This Contract shall continue in force and effect until terminated by <br />the w~itten document of all of the Contracting Parties, authorized by the formal <br />action of their governing bodies; provided, nowever, that this Contract may not <br />in any event be terminated or rescinded so long as the Authority has obligations <br />outstanding unless provision for full payment of such obligation has been made <br />pursuant to the terms of such obligation. <br /> <br />SECTION 5. Distribution on Termination: <br /> <br />In the event of the rescission or termination of this agreement and <br />the dissolution of the authority, all of assets of the authority shall imme- <br />diately vest in the contracting parties. <br /> <br />SECTION 6. Powers of the Authority. <br /> <br />The general powers of the Authority shall include all powers granted <br />by Colorado Revised Statutes, as amended, and shall include, but not exclusively <br />the following powers: <br /> <br />6.1 .To conduct weather modification programs and operations. <br /> <br />6.2 To mak.e and enter into contracts of every kind with the United <br />States, State of Colorado or political subdivisions thereof and any individual, <br />firm or association, partnership, corporation, or any other organization of any <br />kind to carry out the powers of the Authority. <br /> <br />6.3 To employ agents and employees. <br /> <br />6.4 To acquire, construct, manage, maintain and operate the necessary <br />facilities for weather modification programs and operations. <br /> <br />6.5 To acquire, hold, lease, sell or otherwise dispose of any personal <br />property utilized for weather modification purposes. <br /> <br />6.6 To incur debts, liabilities or obligations or to borrow money and <br />from time to time to make, accept, endorse, execute and deliver obligations of <br />the Authority for monies borrowed or in payment for property acquired or for any <br />of the purposes of the Authority; and to secure the payment of any such obliga- <br />tions by mortgage, pledge, agreement or other security instrument. <br /> <br />6.7 To sue and be sued in its own name <br /> <br />6.8 To accept gifts, grants and contributions. <br /> <br />3 <br />
