I <br /> <br /> <br />CONTRACT <br /> <br />THIS CONTRACT, made this 1l1th day of Januarv 1996, by and between the State of Colorado for the use and benefit of the <br />DenArtmp.nt of Natural Resources Colorado WatP.r C.onl'lfH"Vation Board 1313 Rherrn:,," Rt Room 721 Denver C..olorado 80203 hereinafter <br />referred to as the State, and the Town of Nnda 320 MAin Rtl'P.P.t Nuda C'.olOTRdn 81424 hereinafter referred to as the Contractor. <br /> <br />WHEREAS, authority exists in the Law and Funds have been budgeted. appropriated and otherwise made available and a <br />sufficient unencumbered balance there of remains available for payment inAgency.fDA. Fund Number m Organization~, Appropriation <br />Code ~ Program YITll.!::, Object Code Q1lQ. Sub Object Code 36. Contract Encumbrance Number (1/" ~ 7/ () . and <br /> <br />WHEREAS, required approval, clearance and coordination has been accomplished from and with appropriate agencies; and <br /> <br />WHEREAS, the State desires to assist public agencies, established under Colorado law. for the purpose of a pilot program <br />demonstrating the benefits of water efficiency measures by providing incentive grants pursuant to the authority granted in Section 37-60-119, <br />CRS; and <br /> <br />WHEREAS, the Contractor's application for a grant from the Water Conservation Board Construction Fund has been received <br />and approved by the Colorado Water Conservation Board; and <br /> <br />WHEREAS, the Colorado Water Conservation Board desires to distribute said funds pursuant to law; and <br /> <br />WHEREAS, the Contractor is an eligible public agency to receive grant assistance from the Pilot Program Cor demonstrating <br />the benefits of water efficiency measures. <br /> <br />WHEREAS, the Contractor will provide matching funds and or service to equal the amount stated in paragraph 5. <br /> <br />NOW THEREFORE it is bereby agreed that: <br /> <br />1. AreR Covered. The Contractor shall perform and accomplish all the necessary work and services provided under this Contract, <br />as described in the attached Exhibit A, which is incorporated berein and made part of this Contract by reference. <br /> <br />2. Scone of Services. In consideration for the monies to be received from the State, the Contractor shall do, perform, and carry <br />out, in a satisfactory and proper manner, as determined by the State. all work elements as indicated in the "Scope of Services", set forth in <br />the attached Exhibit A. hereinafter referred to as the "Project" and incorporated herein. Work performed prior to the execution of this Contract <br />shan not be considered part of this Project. <br /> <br />3. Matchin~ Funds. The Contracror shall provide ONE IDJNDRED THOUSAND NOIlOO Dollars ($100 000) in matching funds <br />and or services. <br /> <br />4. ResnonRible AdminiRtrAtor. The performance oCthe services required hereunder shall be under the direct supervision of Mary: <br />Helen de Koevend an employee or agent of Contractor, who is hereby designated as the administrator-in-charge of this Project. If At any time <br />the administrator-in..charge changes the Board must be given written notice of the change and must approve the replacement before any <br />further monies are distributed. <br /> <br />5. Tim~ of Perform:mM. This Contract shall become effective upon proper execution of this Contract by the State Controller <br />or his designee. The Project contemplated herein shall commence as soon as practicable after the execution of this Contract and shall be <br />undertaken and performed in the sequence set forth in the "Time of Performance" in the attached Exhibit A. Expenses incurred by the <br />Contractor in association with said Project prior to execution of this Contract shall not be eligible expenditures. The Contractor agrees that <br />time is of the essence in the performance of its obligations under this Contract, and that completion of the Project shall occur no later than <br />the termination date set forth in the Time of Performance in Exhibit A. <br /> <br />6. ('Almnen~ation And Method ofPavrnent. The State agrees to pay to the Contractor. in consideration for the work and services <br />ro be performed, a rotal amount not ro exceed ONE IDJNDRED THOUSAND NOIIOO Dollars ($100 0001.
