Colorado Water Conservation Board. 1313 Sherman St. Room 721. Denver. Colorado 80203 <br />hereinafter referred to as the State, and the North Pourdre Irrigation Companv at P.O. Box 100. Wellimrton. Colorado 80549, <br />hereinafter referred to as the Contractor. ;:;?'J <br /> <br />WHEREAS, authority exists in the Law and Funds have been budgeted, appropriated and otherwise made available and <br />a sufficient unencumbered balance there of remains available for payment in Agency PDA, Fund Number 424, Organization nyy, <br />Appropriation Code 100, Program _ Object Code SIlO, Sub Object Code _ Contract Encumbrance Number CI5~77'1-; <br />and <br /> <br />WHEREAS, required approval, clearance and coordination has been accomplished from and with appropriate agencies; <br /> <br />and <br /> <br />WHEREAS, the State desires to assist public agencies, established under Colorado law, for the purpose of a pilot <br />program demonstrating the benefits of water efficiency measures by providing incentive grants pursuant to the authority granted in <br />Section 37-60-125, CRS; and <br /> <br />WHEREAS, the Contractor's application for a grant from the Water Conservation Board Construction Fund has been <br />received and approved by the Colorado Water Conservation Board; and <br /> <br />WHEREAS, the Colorado Water Conservation Board desires to distribute said funds pursuant to law; and <br /> <br />WHEREAS, the Contractor is a public agency eligible to receive grant assistance from the Pilot Program for <br />demonstrating the benefits of water efficiency measures. <br /> <br />NOW THEREFORE it is hereby agreed that: <br /> <br />1. Scope of Services. In consideration for the moneys to be received from the State, the Contractor shall do, perform, <br />and carry out, in a satisfactory and proper manner, as detennined by the State, all work elements and services as set forth in the <br />attached Exhibit A, "Scope of Services", hereinafter referred to as the "Project" and incorporated herein. Work performed prior to the <br />execution of this Contract shall not be considered part of this Project. <br /> <br />2. Responsible Administrator. The performance of the services required hereunder shall be under the direct supervision <br />of Dr. Ellen Wohl, an employee or agent of Contractor, who is hereby designated as the administrator-in-charge of this Project. If At <br />any time the administrator-in-charge changes the Board must be given written notice of the change and must approve the replacement <br />before any further moneys are distributed. <br /> <br />3. Time of Performance. This Contract shall become effective upon proper execution of this Contract by the State <br />Controller or his designee. The Project contemplated herein shall commence as soon as practicable after the execution of this <br />Contract and shall be undertaken and performed in the sequence set forth in the "Time of Performance" in the attached Exhibit A. <br />Expenses incurred by the Contractor in association with said Project prior to execution of this Contract shall not be eligible <br />expenditures. The Contractor agrees that time is of the essence in the performance of its obligations under this Contract, and that <br />completion of the Project shall occur no later than the tennination date set forth in the Time of Performance in Exhibit A. <br /> <br />4. Compensation and Method of Pavment. The State agrees to pay to the Contractor, in consideration for the work and services to <br />be performed, a total amount not to exceed TWEL VB THOUSAND AND NOli 00 Dollars ( $12.000 ). The method and time of <br />payment shall be made in accordance with the "Payment Schedule" set forth in Exhibit A. <br /> <br />Page I of 6 Pages <br /> <br />'. <br />
