APPENDIX 4 <br /> RESOLUTIONS OF THE BOARD OF DIRECTORS <br /> OF THE GROUNDWATER MANAGEMENT SUBDISTRICT <br /> OF THE CENTRAL COLORADO WATER CONSERVANCY DISTRICT <br /> The Board of Directors of the Groundwater Management Subdis ict of the <br /> Central Colorado Water Conservancy District(hereinafter referred to as It istrict), at <br /> a meeting held April Ib , 2019, at Greeley, Colorado, authorized the fo and <br /> execution of a loan contract and the appendices thereto; <br /> At said meeting, the Board charged that these resolutions are i epealable <br /> during the term of the loan and, pursuant to the District's statutory au hority and <br /> bylaws RESOLVED as follows: <br /> 1. To authorize the President and Secretary to execute all document- as required, <br /> including the Loan Contract No. CT 2019-3687 and all Appendic-s as necessary, <br /> including but not limited to, the Promisso Note and Securi A t eement <br /> attached thereto as Appendix 3 and 5, respectively; and <br /> 2. To perform and observe the contractual terms, conditions and obl gations as <br /> required pursuant to that Purchase and Sale Agreement dated March 19, 2019 by <br /> and between Journey Ventures, LLC and J-2 Contracting Company (hereinafter <br /> "Sellers") and the District which, among other things, provides for the <br /> development and sale of Pioneer Reservoir by Sellers to the District. <br /> CERTIFICATION <br /> THE UNDERSIGNED,THE PRESIDENT AND SECRETARY,HEREBY CERTIFY THAT THE <br /> .
