"Enabling Law"means, collectively, Section 32-1-1101, C.R.S., the Supplemental Public Securities Act, the Water Activity Law and all other laws of the State establishing the power of the District to complete the financing contemplated by the Original Resolution and to enter into the Amendment as contemplated under this Resolution. "Loan Contracts"is defined in the recitals hereof. "Original Contract" means that certain Original Loan Contract Number CMS 72702/C 150404B and the corresponding original Promissory Note and original Security Agreement, to which the Amendment applies. "Original Loan Resolution" means Resolution 2015-008 adopted by the Board on September 29, 2015 pursuant to which, among other things, the original Loan Contracts were approved. "Project"means the District's allocated share of the Chatfield Reallocation Project. "Resolution" means this Resolution which authorizes the execution and delivery of the Amendment and other documents and actions in connection therewith. "State"means the State of Colorado. "Supplemental Public Securities Act"means Part 2 of Article 57 of Title 11, C.R.S. "Water Activity Law"means Title 37, Article 45.1, C.R.S. Section 2. Approval of Amendment. Pursuant to and in accordance with the State Constitution and the Enabling Law, the Amendment is incorporated by reference and is hereby approved. The District shall enter into and perform its obligations under the Amendment in the form of such document presented at or prior to this meeting, with such changes as are made pursuant to this Section 2 and are not inconsistent herewith. The President of the District is hereby authorized and directed to execute and deliver the Amendment and the Secretary to the Board is hereby authorized and directed to attest the Amendment and to affix the seal of the District thereto, and any one of the President, Vice-President or Treasurer of the District are further authorized to execute, deliver and authenticate such other documents, instruments, or certificates as are deemed necessary or desirable in order to effect the transactions contemplated under the Amendment. The Amendment is to be executed in substantially the form presented at or prior to this meeting of the Board, provided that it may be completed, corrected, or revised as deemed necessary or convenient and approved by District Counsel, provided that District Counsel shall consult with a representative of the District in connection therewith, in order to carry out the purposes of this Resolution and the action taken by the Board at this meeting, and such approval shall be deemed approval by the Board. Upon execution of the Amendment, the covenants, agreements, recitals, and representations of the District therein shall be effective with the same force and effect as if specifically set forth herein, and such covenants, agreements, recitals, and representations are hereby adopted and incorporated herein by reference.
