thereof but not to exceed $20,000, at anytime, except in a case of emergency <br /> and in that case not to exceed the sum of $10,000 additional. <br /> Section 6. All headgates in the Company's canals shall be operated, <br /> maintained and under the exclusive control of the Company, and no stockholder <br /> or any other person shall have the right to interfere with, reconstruct, repair, <br /> change or alter said headgates or any of them , in any manner whatsoever. Every <br /> stockholder shall have the privilege to open his headgate at any time whenever the <br /> same is not locked by the ditch rider and also to close the same whenever the water <br /> supply carried in the Company's canals is normal. Under no condition, however, <br /> shall a stockholder close his headgate whenever the head of water in the ditch is <br /> such that a closing thereof would endanger the ditch by overflow or otherwise , <br /> and regardless of the cause of the large head of water in the ditch, i.e. from cloud <br /> bursts , heavy rains or any other cause over which the Company shall have no <br /> control. <br /> Section 7 . The Board of Directors of the Company may from time to time, <br /> either to meet an emergency or in the general operation of the Company's system, <br /> adopt and promulgate other rules and regulations for the collection and distribution <br /> of the Company's water supply. The Company shall not be liable for a shortage <br /> of water from any cause whatsoever, and shall have the right at all times when in <br /> the judgment of the Board of Directors it may be reasonably necessary, to shut <br /> down the running of water in order to make repairs, changes or alterations. <br /> Section 8. Directors as such shall receive no stated salaries for their <br /> services, but shall be allowed and paid Ten Dollars ($10.00) and expenses for <br /> attendance at every regular or special meeting. <br /> Directors shall in addition receive their actual trave141 <br /> s . If <br /> any director of the Company, under a resolution of o d of Directors, is <br /> b ' •m <br /> required to leave the county in which he resides , u ; fe <br /> pany , he shall be paid for his time and services while-So n: ": -d n <br /> is a u='j <br /> pany's business beyond the limits of the county in which he resides, hhowever, <br /> expenses and Five Dollars for each day or fraction thereof, provided, <br /> that the Superintendent of the Company shall receive no additional compensation <br /> other than his salary for any time expended or services performed on behalf of <br /> the Company, either within or beyond the county in which he resides , except by <br /> resolution of the Board of Directors. <br /> Section 9. In case any vacancy occurs in the Board of Directors by death, <br /> resignation, removal or otherwise, the remaining members of the Board shall have <br /> power to elect a duly qualified person to fill any such vacancy, and such person <br /> so elected shall hold his office until his successor may be elected. <br /> ARTICLE IV <br /> Officers <br /> Section 1 . The officers of this Company shall consist of a President, <br /> Vice-President, Secretary, Treasurer and a Superintendent of the ditch, all of <br /> whom shall be elected annually by the Board of Directors at their first meeting <br /> following the annual meeting ocstockholders, or as soon thereafter as may be <br /> practicable. Such officers shall be chosen from the members of the Board of <br /> Directors , except the Secretary and Treasurer, and the Superintendent who <br /> may or may not be directors . The offices of Secretary and Treasurer may be <br /> held by one person . <br /> The Board may in its discretion also cause to be appointed an Assistant <br /> Secretary and an Assistant Treasurer, and such other officers and agents as it <br /> may deem necessary or proper. <br />
