following the adoption of this Resolution, an appropriate filing will be made under Section 11- <br /> 59-110(2), C.R.S., in order to make such exemption applicable; and <br /> WHEREAS, there has been made available to the Board the form of the Loan Contract <br /> and the Note; and <br /> WHEREAS, as provided in the Enabling Laws, which include but are not limited to <br /> Title 11, Article 57, Part 2, C.R.S., by this Resolution the District authorizes the execution of the <br /> Loan Contract and the Note, and delegates to the President of the District, for a period not to <br /> exceed one year, the authority approve certain financial terms relating to the Note; <br /> THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF LEFT <br /> HAND WATER DISTRICT, BOULDER, BROOMFIELD AND WELD COUNTIES, <br /> COLORADO: <br /> Section 1. Definitions. As used herein, the following capitalized terms shall have <br /> the respective meanings set forth below, unless the context indicates otherwise. <br /> "Board"means the Board of Directors of the District, acting as the governing body of the <br /> Enterprise. <br /> "Capital Improvements" means the acquisition of land, easements, facilities and <br /> equipment, other than ordinary repairs and replacements, and the construction or reconstruction <br /> of improvements,betterments and extensions for use by or in connection with the System. <br /> "C.R.S." means the Colorado Revised Statutes, as amended and supplemented as of the <br /> date hereof. <br /> "CWRPDA" means the Colorado Water Resources and Power Development Authority, a <br /> body corporate and political subdivision of the State. <br /> "District" means the Left Hand Water District, acting by and through its Water Activity <br /> Enterprise. <br /> "Enabling Laws" means Part 2, Article 57 of Title 11, Colorado Revised Statutes, as <br /> amended; Part 4, Article 35 of Title 31, Colorado Revised Statutes, as amended; Article 1 of <br /> Title 32, Colorado Revised Statutes, as amended; Part 1, Article 45.1 of Title 37, Colorado <br /> Revised Statutes, as amended; and all other laws of the State thereunto enabling. <br /> "Enterprise" means the Water Activity Enterprise, as formally established by resolution <br /> of Left Hand Water District on November 13, 1993. <br /> "Financing Documents"means the Loan Contract and the Note. <br /> "Future Parity Obligations" means one or more series of additional bonds, notes, interim <br /> securities or other obligations issued by the District having a lien on the Net Revenues which is <br /> on a parity with the lien of the Note and the Parity Lien Obligations. <br /> 2 <br /> 4828-5273-6853.1 <br />
