i <br /> 3 <br /> i <br /> ( <br /> I <br /> RESOLUTION NO. 52-2016 ([ <br /> 1 <br /> A RESOLUTION APPROVING A PURCHASE AND SALE AGREEMENT FOR THE PURCHASE OF <br /> APPROXIMATELY 120 ACRES OF PROPERTY IN MORGAN COUNTY, TOGETHER WITH CERTAIN <br /> 3 <br /> WATER RIGHTS AND RELATED RIGHTS AND INTERESTS <br /> i <br /> WHEREAS, the Town of Wiggins desires to acquire approximately 120 acres of land <br /> fronting U.S. Highway 34 and backing up to 1-76 along, together with water, water rights, carriage <br /> rights represented by 20 shares of capital stock of the Fort Morgan Reservoir and Irrigation I <br /> Company, stock certificate 3250, and 20 shares of capital stock in the South Side Lateral f <br /> Company (carrier ditch), stock certificate 382 and related rights and interests (collectively, the <br /> "Property")for use as part of the Town's Water System; and <br /> WHEREAS,the owner of the Property has stated its desire to sell the Property to the Town <br /> upon the terms and conditions of a mutually-agreeable purchase contract;and <br /> F <br /> WHEREAS,a Contract for Purchase and Sale of Land and Water Rights has been proposed <br /> with the owner for the purchase of the Property;and <br /> 1 <br /> WHEREAS, the Board of Trustees by this Resolution desires to approve the Purchase and <br /> Sale Agreement and authorize its execution. <br /> NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF <br /> WIGGINS,COLORADO: <br /> Section 1. The proposed Contract for Purchase and Sale of Land and Water Rights <br /> (the "Contract") between the Town of Wiggins, the Glassey Family Farm, the Stephen Glassey <br /> Living Trust, and John Timothy Glassey is hereby approved in essentially the same form as the <br /> copy of such Contract accompanying this Resolution. <br /> i <br /> 1 <br /> Section 2. The Mayor or Town Administrator, or either of them, is authorized to <br /> execute the Contract in substantially the same form as the copy attached hereto; further, the <br /> Mayor and Town Administrator, in consultation with the Town Attorney and Town Water I <br /> Attorney, is hereby granted the authority to negotiate and approve such revisions to the Contract E <br /> as they determine are necessary or desirable for the protection of the Town, including but not <br /> limited to revisions to Section 1(c) of the Contract concerning the provision of easements, so long <br /> as the material terms and conditions of the Purchase Contract are not altered. The Mayor and <br /> Town Administrator shall have no authority to approve any revisions to the Contract that increase <br /> the Purchase Price under the Contract without further action by the Board of Trustees. <br /> Section 3. The Mayor, Town Administrator, Town Clerk and Town Staff are further <br /> authorized to do all things necessary on behalf of the Town to perform the obligations of the Town <br /> under the Purchase Contract, and to execute and deliver any and all documents necessary to E <br /> effect the purchase of the Property under the terms and conditions of the Purchase Contract. <br /> a <br /> 1 <br /> fg� <br /> 5 <br />
