I am general counsel to the Chilcott Ditch Company, a Colorado non-profit corporation.
In such capacity, I am familiar with the Jimmy Camp Creek Siphon Project, the construction of
which is to be financed with the proceeds from the above -referenced loan. Concerning this project,
I have reviewed the following documents:
a. the Loan Contract concerning the loan referenced above as CWCB CMS:96647/CORE:
CT2017-3188 and all attachments thereto, including the Special Provisions, Project
Summary, Promissory Note, Security Agreement, and Deed of Trust,
b. the Articles of Incorporation of the Chilcott Ditch Company, which articles are on file
with the Office of the Colorado Secretary of State,
c. the current By -Laws of the Chilcott Ditch Company, as amended November 18, 2015,
d. Resolution of the Board of Directors of the Chilcott Ditch Company dated November
2, 2016, approving the above -referenced loan and authorizing the Board of Directors
and Officers to execute the Loan Contract and all documents reasonably necessary to
consummate this loan, and
e. Resolution of the Shareholders of the Chilcott Ditch Company dated November 2,
2016, approving the above -referenced loan and authorizing the Board of Directors and
Officers to execute the Loan Contract and all documents reasonably necessary to
consummate this loan.
