Partial Assignment by CWCB to Castle Rock
Initial Acquisition

Project ("Optioned Orphan Shares"). The Purchaser may acquire the Optioned Allocation by an
Initial Acquisition and subsequent Installment Acquisitions as described in the Purchase
Agreement.
1.6 By this Assignment, the CWCB transfers to the Purchaser all of its rights, and
delegates to the Purchaser all of its corresponding obligations, under the Water Storage
Agreement with respect to that portion of the Orphan Shares assigned herein.
2. Partial Assignment of Rights and Obligations of the CWCB.
2.1 This Assignment shall satisfy the CWCB's obligation in paragraph 3.1.2.2 of the
Purchase Agreement to provide a duly executed partial assignment of the CWCB's rights and
obligations pursuant to the Water Storage Agreement at the Initial Acquisition Closing.
2.2 For good and valuable consideration, including payment of the appropriate Initial
Payment Amount as defined in the Purchase Agreement, and the mutual promises and
undertakings in the Purchase Agreement, the CWCB hereby assigns to the Purchaser all its rights
and obligations under the Water Storage Agreement relating to, and comprising, the right to use,
87 acre-feet of Orphan Shares in the Chatfield Reservoir Reallocation.
3. Other.
3.1 Terms defined in the Purchase Agreement shall have the meanings assigned
therein.
3.2 The Purchase Agreement shall survive the execution, delivery, and consummation
of this Assignment.
