• <br /> and not specifically excluded from the lien of this Ordinance, but excluding borrowed <br /> moneys, grant moneys or other funds earmarked or designated by the grantor or other <br /> source for Improvements, moneys, securities, and investment income therefrom, in any <br /> escrow or similar account pledged to the payment of any refunded bonds or other legally <br /> defeased Obligations, unrealized gains or losses on investments, or income, charges or <br /> revenues from Special Facilities or funds drawn under a Credit Facility or Liquidity <br /> Facility and not specifically included in Income under a Series Ordinance, Supplemental <br /> Resolution or Final Terms Certificate. To the extent provided by Series Ordinance, <br /> Supplemental Resolution or Final Terms Certificate, the Income may include or exclude <br /> particular funds, accounts or revenues and may also include, for the purpose of <br /> determining compliance with the payment, accumulation and coverage requirements <br /> hereof, any other moneys contributed to the System for use in paying Debt Service <br /> Requirements or Operation and Maintenance Expenses. <br /> Income Account: the special account created and required to be <br /> maintained by Section 3.01 hereof. <br /> Independent Accountant: any certified public accountant, or any firm of <br /> such accountants, duly licensed to practice and practicing as such under the laws of the <br /> State, appointed and paid by the City, who (a) is, in fact, independent and not under the <br /> domination of the City or the Council, (b) does not have any substantial interest, direct or <br /> indirect, in any of the affairs of the City, and (c) is not connected with the City as a <br /> member, officer or employee of the Council, but who may be regularly retained to make <br /> annual or similar audits of any books or records of the City. <br /> Installment Purchase Agreement: any financing arrangement in which <br /> .'' title to the financed property is retained by the seller or lessor and conveyed to the City in <br /> • increments or in whole upon payment in part or in whole of the Obligation evidenced <br /> thereby. <br /> Interest Payment Date: a date designated by Supplemental Resolution or <br /> Final Terms Certificate for the payment of interest on any Series of Obligations. <br /> Lease: a Capital Lease or an Operating Lease. <br /> Liquidity Facility: any letter or line of credit, policy of insurance, surety <br /> bond or similar instrument issued by a financial, insurance or other institution which <br /> provides funds to facilitate the purchase or remarketing of any Tender Obligation. <br /> Liquidity Facility Provider: the institution providing a Liquidity Facility. <br /> Maximum Annual Debt Service Requirements: with respect to.all Series <br /> of Obligations, in the aggregate, for which the computation is being made, the greatest <br /> amount of Debt Service Requirements coming due in any single Fiscal Year when any <br /> such Series of Obligations is Outstanding, provided that there shall be excluded from <br /> such computation the principal of or interest on any Revenue Anticipation Notes, Bond <br /> #866939v1) 6 <br />
