We have the following <br /> information and opinions for you: <br /> 1. The Orchard Ranch Ditch Company is a mutual ditch company,organized under the laws <br /> of the State of Colorado as a non-profit corporation. Its purpose is to deliver irrigation water to its <br /> members. <br /> 2. The Company has the legal power to incur debt. Its Board of Directors has the power to <br /> encumber all assets of the company, including but not limited to its water rights. <br /> 3. There are no limitations on the Company's ability to borrow funds. <br /> 4. The entity is a non-profit entity under state and federal law and pays no income tax. <br /> 5. There are no actions, claims, or suits pending before any court or administrative agency <br /> which could adversely affect the financial condition or operation of the Company. <br /> 6. The resolutions of the Company authorizing the execution and delivery of the Contract <br /> were duly adopted by the shareholders. <br /> 7.
