I am providing this letter as the <br /> Madonna Wallace-Gross attorney for the District to meet the requirement of¶7 of the Loan Contract. <br /> Chad A.Kupper <br /> Blair M.Dickhoner Based upon my review of the District's records, organizational decree, amended <br /> Elizabeth M.Joyce and restated bylaws("bylaws"), and applicable statutes, it is my opinion that: <br /> 1. The Loan Contract has been duly executed by officers of the District who <br /> SPECIAL COUNSEL have been duly elected to their respective positions and who are authorized to <br /> Wallace H.Grant execute the Loan Contract and to bind the District in this transaction. <br /> Swan D.Fritchei <br /> Eve 1.Canfield <br /> SENIOR COUNSEL 2. The resolutions of the District authorizing the execution and delivery of <br /> Richard N.Lyons,N the Loan Contract were duly adopted by the District's Board of Directors. <br /> Daniel <br /> 3. There are no provisions in the District's bylaws or in any state or local <br /> laws that prevent the Loan Contract from binding the District. <br /> 4. If entered into by the CWCB, the Loan Contract will be valid and binding <br /> against the District. <br /> 5.
