Antomobile Liability <br />Automobile Liability Insurance covering any auta (including owned, hired and non-owned autos) with <br />a minimum limit af $I,OOO,OdO each accident cornbined single limit. <br />iv. Addifional Insared <br />Grantee and the State sha[l be named as additional insured on the Commereial Genera! Liability and <br />Automobile Liability Insurance policies (leases and construction Grants require additianal insured <br />cavera�e for completed operations on endorsements CG 201011/85, CG 203'1, or equivatent). <br />v. Primacy of Coverage <br />Coverage required of Grantee and Subgrantees shall be primary aver any insw�ance or self-insurance <br />pragrarn carried by Gra.ntee or the State. <br />vi. CaaceUadon <br />The above insurance poiicies sha11 include provisions preventing cancellati�n or non-renewal without <br />at least 45 days prior notice to the Grantee and Grantee shall forward such notice to the State in <br />accordance with §16 (Natices and Representatives) within seven days of Gnantee's receipt of such <br />notice. <br />vii. Snbrngation Waiver <br />Atl insurance policies in any way re}ated to this Grant and secured and maintained by Grantee or it� <br />Subgrantees as required herein shall include clauses stating that each carrier shatl waive all rights of <br />recovery, under subragation or otherwise, a$ainst Grantee or the State, its agencies, institntions, <br />organizations, officers, agents, employees, and volunteers. � <br />C. Certificates <br />Grantee and all Subgrantees shall provide certificates showing insurance covera�e requined hereunder to <br />the State within seven business days of the Effective Date of this Grant. No later than l 5 days prior to the <br />expiration date of any such coverage, Grantee and each Subgrantee shall deliver to the State or Grantee <br />certificates of insurance evidencing renewats thereof. In addition, upon request by the State at any other <br />time during the term ofthis Grant or any subgrant, Grantee and each Suhgrantee shsl(, within t0 days af <br />suoh request, supply to the State evidence satisfaatory W the State of compliance with the provisions af this <br />§13. <br />l4. BREACH <br />A. Defined <br />In addition ta any breaches specified in other s�tions of this Grant, the failure o�either Party to perform <br />any of its material abligations hereunder, in who(e or in part or in a timeiy or sat[sfactory manner, <br />constitutes a breach. The institution of proceedings under any bankruptcy, insolWency, reorganization or <br />simitar law, by or against Grantee, or the appointment of a receiver or sirnilar o�cer for Grantee or any of <br />its property, which is not vacated ar fntly stayed within 20 days after the institutian ar accurrence ther�of, <br />shail also constitute a breach. <br />B. Notice aad Cure Period � <br />in the event of a breach, notice of such shal! be given in writing by the aggriev� Party to the other Party in <br />the manner provided in §16. If such breach is not cured within 30 days of reoeipt of written notice, or if a <br />cure cannot be campleted within 30 days, or if cure of the breach has not begun �uvithin 30 days and has <br />been pnrsued with due diligence, the State may exereise any of the remedies set �orth in §15. <br />Notwithstanding anything to the contrary hecein, the State, in its sole discretion, need not provide advance <br />natice ar a cure period and rnay immediatety terminate this Grant in whole or in part if reasonably <br />necessary to preserve public safeiy or to prevent immediate public crisis. <br />1S. REMEDIES ; <br />If Grantee is in 8reach under any provision af this Grant, the State shall have all of the remedies listed in this <br />§�5 i� addition to ail other,cemedies set forth in oCher sections of this Grant foliowing the.natice aud cure period <br />set farth in §14(B).
