B. Biuding Effect
<br />Except as otherwise provided in §20(A), a!1 provisions herein contained, including the benefits and
<br />burdens, shall extend to and be binding upon the Parties' resgective heirs, legal representatives, successars,
<br />and assigns.
<br />C. Captions
<br />The captions and headings in this Grant are for convenience of reference only, and shall not be used to
<br />interpret, define, or limit its provisions.
<br />D. Connterparts
<br />This Grant may be exeauted in multiple identicai original oounterparts, all of wh�ch shall constitvte one
<br />agreement.
<br />E. Entire Understanding
<br />This Grant repressnts the comptete integation of al! understandings between th� Parties and all prior
<br />representations and undsrstandings, oml or written, are merged herein. Priar or aantemporaneous additions,
<br />deletions, or other changes hereto shall not have any force or effect whatsaever, unless embodied herein.
<br />F. Indemnificatien-Generat
<br />Grantee shall indemnify, save, and hald harmless the State, its employees and a�ents, against any and ait
<br />ciaims, dama�es; liability and caurt awards including costs, expenses, and attorney fees and related costs,
<br />inc� as a result of any act or ornission by Grantee, or its employees, agents, "�ubgrantees, or assignees
<br />pursuant to the terms of this Grant; however, the provisions hereof shatl not be aonstrued or interpret+ed as a
<br />waiver, express or implied, of any of the imimunities, rights, benefits, protection, ar other provisions, of the
<br />Coiorado Governmentai Immunity Act, CRS §24-14-101 et seq., or the Federal Tort Claims Act, 28 U.S.C.
<br />2671 et seq., as applicable, as now or hereafter amended.
<br />G. JarisdicNon and Venue
<br />All suits, actions, ar proceedings related to this Grant shall be held in the State of Calorado and exclusive
<br />venue shall be in the City and County of Denver.
<br />H. Modi�catiun
<br />i. By the Farties
<br />Except as specifically pravided in this Grant, modifications ofthis Grant sl�all not be effective unless
<br />agreed to in writing by the Parties in an amendment ta this Grant, property �xecuted and appraved in
<br />accordanee with applicable Calorado State law, State Fiscal Rules, and Office of the State Cantrailer
<br />Policies, including, but not limiteti ta, the poticy entitled MODIFICATIONS QF CONTRACTS -
<br />TOOLS AND FORMS.
<br />ii. By Operatian of Law
<br />T'his Grant is subject to such modifications as may be required by changes in Federal or Colorado
<br />State taw, or their implementing regulations. Any such required modificaticin automatieally shall be
<br />incarparated into and be part of this Grant on the effective date of such change, as if fully set farth
<br />herein.
<br />I.Owder of Precedence �
<br />The provisions of this Grant sha11 govern the relationship of the Parties. In the er+ent of conflicts or
<br />inconsistencies between this Gram and its exhibits and attachments including, bu�t not limited ta, those
<br />provided by Grantee, such conflicts or inconsistencies sha21 be resolved by reference ta the dacuments in
<br />the following order af priority:

<br />ii. The provisions of the main body af this Grant,
<br />iii. Exhibit A,
<br />iv. Exhibit B.
