Gentlemen:
I represent Uncompahgre Valley Water Users Association, ("UVWUA" or"Borrower") a
Colorado Non-Profit Corporation, organized and existing in good standing pursuant to Colorado
Statues with its principal office located at 601 North Park Avenue, Montrose, Colorado 81401.
As you know, UVWUA is in the process of obtaining a loan from the Colorado Water
Conservation Board's ("CWCB") Water Project Loan Program pursuant to Loan Contract
CWCB CMS:79884/CORE: CT2015-174 (the "Loan Contract"). Paragraph 7 of Section A of
the Loan Contract requires an attorney's opinion letter relating to UVWUA's authority to enter
into the Loan Contract. This letter may be considered as fulfillment of said requirement.
After review of UVWUA's Articles of Incorporation(and Amendments thereto),
Corporate By-Laws, and relevant states and local law, it is my opinion based on my knowledge
that:
1. George Etchart, President of UVWUA, and Steve Pridy, Cooperate Secretary of
UVWUA, are duly authorized in their respective corporate capacities to execute
the Loan Contract and to bind UVWUA thereunder;
2. The Resolution of UVWUA authorizing the execution and delivery of the Loan
Contact was duly adopted by the UVWUA Board of Directors as required by its
Articles of Incorporation and By-Laws;
3. I am unaware of any provisions in UVWUA Articles of Incorporation or By-Laws
or any state or local law that prevent the Loan Contract from binding UVWUA to
the terms thereof, and
