The documents referenced in items (e) through (f) above are collectively referred to herein as the "Loan Modification Documents." The documents referenced in items (g) through (i) above are collectively referred to herein as the "TRW&FC Documents." The documents referenced in items (j) through (1) above are collectively referred to herein as the "TRF F-2 Documents." The TRW&FC Documents and TRF F-2 Documents are collectively referred to herein as the "Organizational Documents." 3. Practice Limitation. We are admitted to practice law in the State and we express no opinion with respect to the effect of any law other than the law of the State and the federal laws of the United States of America. We do not opine or represent as to the effect of the Loan Documents, Loan Modification Documents or the Organizational Documents identified herein to the extent that they may be affected by the laws of jurisdictions other than the State and the United States of America. B. Assumptions. In rendering the opinions set forth below, we have relied upon the accuracy of all factual matters set forth in the Loan Documents and Loan Modification Documents, and we have not independently verified the same. We have also, without investigation,relied upon and assumed: A. The legal capacity, power, authority and the genuineness of the signatures of, and due and proper execution and delivery by, Borrowers of the Loan Documents and Loan Modification Documents to which each is a party; B. The legal capacity, power, authority and the genuineness of the signatures of, and due and proper execution and delivery by, the respective parties other than Borrowers that have made, executed and delivered or will make, execute and deliver the Loan Documents and Loan Modification Documents and that such agreements and documents constitute the legal, valid and binding obligations of such parties, enforceable against such parties in accordance with their terms; C. All natural persons who are signatories to the Loan Documents and Loan Modification Documents were legally competent at the time of the execution; all signatures (including the signature of Borrowers) on the Loan Documents and Loan Modification Documents are genuine; D. All documents submitted to us as originals are authentic; all documents submitted to us as certified or photostatic copies conform to the original document; and all public records reviewed are accurate and complete;
