WHEREAS, prior to the approval of this Resolution, a form of the Loan Contract and the <br /> Note have been made available to the Subdistrict Board; and <br /> WHEREAS, no member of the Subdistrict Board has a potential conflict of interest in <br /> connection with the authorization, issuance, or use of proceeds of the Loan Contract and the <br /> Note; and <br /> WHEREAS, at a regular meeting of the Subdistrict Board, duly noticed and held on June <br /> 17, 2015, the Subdistrict Board approved Resolution 15-06-06, which approved the Loan <br /> Contract and Note; and <br /> WHEREAS, subsequent to the approval of Resolution 15-06-06, certain changes have <br /> been required to the Loan Contract and Note; and <br /> WHEREAS, the Subdistrict Board, by approving this Resolution, intends that this <br /> Resolution will replace and supersede in its entirety, Resolution 15-06-06; and <br /> WHEREAS, as provided in the Acts, by this Resolution the Subdistrict Board will <br /> authorize the execution of the Loan Contract and the Note, and will delegate to the President the <br /> authority approve, among other things, the amount of principal of the Note maturing in any <br /> particular year as well as the rate of interest on the Note. <br /> BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE PLUM VALLEY <br /> HEIGHTS SUBDISTRICT OF ROXBOROUGH WATER AND SANITATION DISTRICT, <br /> COLORADO: <br /> Section 1. Definitions. The following terms shall have the following meanings as used <br /> in this Resolution: <br /> "Acts" means Title 11, Article 57, Part 2; Title 32, Article 1, C.R.S.; Title 37, Article <br /> 45.1, Part 1, C.R.S.; the Colorado Constitution, and all other laws of the State establishing the <br /> power of the District to complete the financing contemplated by this Resolution. <br /> "Board"means the Board of Directors of the District. <br /> "CWCB"means the State of Colorado Department of Natural Resources, Colorado Water <br /> Conservation Board. <br /> "C.R.S."means the Colorado Revised Statutes, as amended and supplemented as of the <br /> date hereof. <br /> "District"means the Roxborough Water and Sanitation District. <br /> "Loan Contract"means that certain Loan Contract between the Subdistrict and the CWCB, <br /> dated as of Auat.GS? (4, 2015, pursuant to which the CWCB is to loan to the Subdistrict a <br /> portion of the funds needed to complete the Project. <br /> 4 <br />
