WHEREAS, none of the members of the Board have any potential conflicting interests in
connection with authorization for execution of the Loan Contract, or the issuance and delivery of
the Promissory Note, or the use of the proceeds thereof; and
WHEREAS, there has been presented to this meeting of the Board the form of the Loan
Contract and the Board desires to authorize the execution of the document, the issuance and
delivery of the Promissory Note, and the execution of any additional documentation which may
be related to such financing;
THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF WELD
COUNTY TRI-AREA SANITATION DISTRICT, WELD COUNT 41 0 ORADO:
Section 1. Definitions. As used herein, the following caps - s :ll have the
respective meanings set forth below, unless the context indict e: • - - ise.
"Acts" means Title 32, Article 1, C.R.S-; Title 37, Artic1 X45 t. .S , tl , Article
35, Part 4, C.R.S.; and Title 11, Article 57, Part 2, C.R.S.
"Board" means the Board of Directors of the District.
"Capital Improvements" means the acquisition of land, easements, facilities and
equipment (other than ordinary repairs and replacements), and the construction or reconstruction
of improvements, betterments and extensions, for use by or in connection with the Wastewater
System which, under Generally Accepted Accounting Principles for governmental units as
prescribed by the Governmental Account Standards Board, are properly chargeable as capital
items.
"C.R.S." means the Colorado Revised Statutes, as amended and supplemented as of the
date hereof.
"CWCB" means the Department of Natural Resources, Colorado Water Conservation
Board.
"District" means the Weld County Tri-Area Sanitation District, Weld County, Colorado,
acting by and through its water activity enterprise-
"Enterprise" means the water activity enterprise as established by District Resolution
No. 96-6, as said resolution may be amended from time to time.
"Enterprise Fund" means the Enterprise Fund of the District which accounts for the
financial activity of the Enterprise.
"Event of Default" means any one or more of the events set forth in the Section hereof
entitled "Events of Default"
"Gross Revenue" means all income and revenues directly or indirectly derived by the
District from the operation and use of the Wastewater System, or any part thereof; including
