PARTIES <br />This Grant Agreement (hereinafter called "Grant") is entered into by and between West Reservoir and Ditch <br />Company, 37200 Stucker Mesa, Hotchkiss, Colorado, 8141, (hereinafter called "Grantee"), and the STATE OF <br />COLORADO acting by and through the Department of Natural Resources, Colorado Water Conservation Board <br />(hereinafter called the "State or CWCB"). <br />2. EFFECTIVE DATE AND NOTICE OF NONLIABILITY. <br />This Grant shall not be effective or enforceable until it is approved and signed by the Colorado State Controller <br />or designee (hereinafter called the `Bffective Date"). The State shall not be liable to pay or reimburse Grantee <br />for any performance hereunder, including, but not limited to costs ar expenses incurred, or be bound by any <br />provision hereof prior to the Effective Date. <br />3. RECITALS <br />A. Authority, Appropriation, And Approval <br />Authority for the agency entering into this Contract arises from Colorado Revised Statutes (CRS) 39-29- <br />109(2)(c), 37-75-104(2)(c) and 37-75-102 et al., and Senate Bi1106-179 adopted by the 2006 General <br />Assembly, and a sufficient unencumbered balance thereof remains a�ailable for payment. Required <br />approvals, clearance and coordination ha�e been accomplished from and with appropriate agencies. <br />Page 1 of 15 <br />
