REAL ESTATE PURCHASE AGREEMENT <br />THIS AGREEMENT, made and entered into this day of , 2014, <br />by and between Volentine Farms, LTD., hereinafter referred to as "Seller ", and Platte River <br />Recovery Implementation Foundation, a Nebraska nonprofit corporation, Trustee, hereinafter <br />referred to as the "Buyer ". <br />WITNESSETH: <br />The Seller agrees to sell and convey to Buyer and the Buyer agrees to purchase from the <br />Seller the real estate described on the attached Exhibit "A" and incorporated herein by this reference, <br />together with all appurtenances relating thereto and improvements located thereon. Said real estate <br />shall be surveyed by Buyer at Buyer's cost, and such survey will be substituted as the legal <br />description used for this conveyance. (Said real estate being hereinafter called "the Property"). This <br />transaction shall take place pursuant to the following terms and conditions: <br />1. PURCHASE PRICE. The purchase price for the Property will be in the sum of <br />$1,350,000.00, payable at closing. <br />2. DATE AND PLACE OF CLOSING. The date of closing shall be within 30 days of <br />receipt of the survey , or at any other date as the parties shall mutually agree, but in no event later <br />than December 19 , 2014. The closing agent shall be Tri- County Title & Escrow Company, 1464 <br />27th Ave., Columbus, Nebraska, or another closing agent to which the parties shall mutually agree. <br />3. POSSESSION. The Buyer shall be given full possession at time of closing. <br />4. EVIDENCE OF TITLE. Seller shall furnish to Buyer a title insurance commitment in the <br />amount of the Purchase Price, which shall show marketable title in the Seller at the date thereof. If <br />any defect in title is found, the Seller shall have a reasonable time within which to correct such <br />1 <br />
