providing against risk of direct physical loss, damage, or destruction of its System, at least to the <br /> extent that similar insurance is usually carried by utilities constructing, operating, and maintain- <br /> ing hydroelectric facilities of the nature of the Governmental Agency's System, including <br /> liability coverage. The Governmental Agency shall pay all insurance premiums for coverage <br /> required hereby from revenues derived from the operation of the System, or other legally <br /> available funds. Nothing herein shall be deemed to preclude the Governmental Agency from <br /> asserting against any party, other than the Authority, a defense that may be available to the <br /> Governmental Agency,including,without limitation,a defense of governmental immunity. <br /> (I) Notice of Material Adverse Change <br /> During the Loan Term: (i)the Governmental Agency shall promptly notify the Authority <br /> of any material adverse change in the activities, prospects, or condition (financial or otherwise) <br /> of the Governmental Agency relating to its System or its ability to observe and perform its <br /> duties,covenants,obligations, and agreements under this Loan Agreement; (ii)the Governmental <br /> Agency shall promptly notify the Authority of any material adverse change in the activities, <br /> prospects,or condition(financial or otherwise)of the Governmental Agency relating to its ability <br /> to make all Loan Repayments from the Pledged Property or its ability to otherwise observe and <br /> perform its duties, covenants, obligations, and agreements under this Loan Agreement and the <br /> Governmental Agency Bond. <br /> (m) Additional Covenants and Requirements <br /> Additional covenants and requirements for the making of the Loan are set forth on <br /> Exhibit F hereto and made a part hereof. The Governmental Agency agrees that it will observe <br /> and comply with each such additional covenant and requirement, if any, included on Exhibit F <br /> on the date of the Loan Closing. <br /> (n) Continuing Representations <br /> The representations of the Governmental Agency contained herein shall be true at the <br /> time of the execution of this Loan Agreement and at all times during the term of this Loan <br /> Agreement. <br /> (o) Hiring Requirements <br /> The Governmental Agency shall comply with all requirements of Colorado law applicable to <br /> public entities such as the Governmental Agency in the construction and operation of the Project, <br /> 12 <br />
