Governmental Agency Bond, except on ninety (90) days' prior written notice to the Authority <br /> and, in any event, shall not so sell, lease, abandon, or otherwise dispose of the same unless the <br /> following conditions are met: (i)the Governmental Agency shall assign its rights and interests, <br /> and its obligations, under this Loan Agreement in accordance with Section 4.02 hereof to the <br /> purchaser or lessee of the System, and such purchaser or lessee shall expressly assume all duties, <br /> covenants, obligations, and agreements of the Governmental Agency under this Loan Agreement <br /> in writing; and (ii)the Authority shall by appropriate action, in its sole discretion, approve such <br /> sale, lease, abandonment, or other disposition. <br /> (e) Inspections; Information <br /> The Governmental Agency shall permit the Authority to examine, visit, and inspect, at <br /> any and all reasonable times, the property, if any, constituting the Project, and to inspect and <br /> make copies of, any accounts, books and records, including (without limitation) its records <br /> regarding receipts, disbursements, contracts, investments, and any other matters relating thereto <br /> and to its financial standing, and shall supply such reports and information as the Authority may <br /> reasonably require in connection therewith. At the discretion of the Authority, the Governmental <br /> Agency may be required to provide unaudited quarterly financial reports to the Authority. In <br /> addition, the Governmental Agency shall provide the Authority with copies of any official <br /> statements or other forms of offering prospectus relating to any other bonds, notes, or other <br /> indebtedness of the Governmental Agency secured from the Pledged Property and issued after <br /> the date of this Loan Agreement. <br /> (f) Reimbursement for Ineligible Costs <br /> The Governmental Agency shall promptly reimburse the Authority for any portion of the <br /> Loan that is determined rmin d not to be a f ost <br /> C of the Project. Such reimbursement shall be promptly <br /> repaid to the Authority upon written request of the Authority with interest on the amount to be <br /> reimbursed at the rate set forth for the Loan. Eligible Costs are costs associated with the <br /> approved scope of work, the plans and specifications,and any change orders. <br /> (g) Commencement of Construction <br /> Within twelve (12) months after the Loan Closing, the Governmental Agency agrees that <br /> it shall initiate construction of the Project. <br /> 10 <br />
