to receive in the ordinary course of business, no consent, approval, or authorization of, or filing, <br /> registration, or qualification with, any governmental body or officer that has not been obtained is <br /> required on the part of the Governmental Agency as a condition to the authorization, execution, <br /> and delivery of this Loan Agreement and the Governmental Agency Bond, the undertaking, <br /> completion, or operation of the Project, or the consummation of any transaction herein con- <br /> templated. <br /> (g) Compliance with Law <br /> The Governmental Agency: <br /> (i) is in compliance with all laws, ordinances, governmental rules and <br /> regulations to which it is subject, the failure to comply with which would materially adversely <br /> affect the ability of the Governmental Agency to conduct its activities or undertake, complete, or <br /> operate the Project, or the condition (financial or otherwise) of the Governmental Agency or the <br /> System; and <br /> (ii) has obtained all licenses, permits, franchises or other governmental <br /> authorizations presently necessary for the ownership of its property or for the conduct of its <br /> activities that, if not obtained, would materially adversely affect the ability of the Governmental <br /> Agency to conduct its activities or undertake, complete, or operate the Project, or the condition <br /> (financial or otherwise) of the Governmental Agency or the System(other than licenses, permits, <br /> franchises or other governmental authorizations relating to the construction, acquisition, and <br /> operation of the Project that the Governmental Agency expects to receive in the ordinary course <br /> of business). <br /> (h) Use of Proceeds <br /> The Governmental Agency will apply the proceeds of the Loan from the Authority as <br /> described in Exhibit B attached hereto and made a part hereof to finance a portion of the Cost of <br /> the Project only after all other legally available funds of the Governmental Agency have been <br /> used for such purposes. <br /> (i) Cost of Project <br /> The Governmental Agency certifies that the Cost of the Project, as listed in Paragraph (3) <br /> of Exhibit B hereto and made a part hereof, is a reasonable and accurate estimation, and that <br /> upon direction of the Authority it shall supply the Authority with a certificate from its engineer <br /> 8 <br />
