PARITY LIEN BOND CERTIFICATE Little Thompson Water District acting by and through the Little Thompson Water District Water Activity Enterprise in Larimer,Weld and Boulder Counties,Colorado Water Revenue Refunding Note, Series 2014 The undersigned, by and on behalf of Anton Collins Mitchell LLP, Certified Public Accountants, Greeley, Colorado, in connection with the issuance by Little Thompson Water District, acting by and through its Water Activity Enterprise, in Larimer, Weld and Boulder Counties, Colorado (the "District"), of its Water Revenue Refunding Note, Series 2014, dated December 15, 2014, in the aggregate principal amount of$4,905,000 (the "Series 2014 Note"), hereby certifies as follows (capitalized words and phrases used herein shall have the same meaning as set forth in the Resolution of the District adopted on November 13, 2014 authorizing the issuance of the Series 2014 Note(the"Resolution")): 1. I am an independent certified public accountant within the meaning of § 12-2- 115, C.R.S., as amended, licensed to practice in the State of Colorado. 2. The District has provided me with unaudited financial information which permits me to calculate Net Revenue for the 12-month period ending June 30, 2014. The District has also provided me with copies of the following documents: (a) the resolution of the District adopted on October 7, 2004 (the "2004 CWCB Resolution") providing for the issuance of the District's Note to the Colorado Water Conservation Board, and the loan contract executed in connection therewith, dated December 1, 2004 (the"2004 CWCB Loan"); (b) the resolution of the District adopted on September 14, 2005 (the "2006 CWCB Resolution") providing for the issuance of the District's Note to the Colorado Water Conservation Board, and the loan contract executed in connection therewith, dated February 21,2006 (the"2006 CWCB Loan"); (c) the resolution of the District adopted on April 27, 2006 (the "CWRPDA Resolution") providing for the issuance of the District's Note to the Colorado Water Conservation Board, and the loan contract executed in connection therewith, dated April 1, 2006 (the"CWRPDA Loan"); (d) the resolution of the District adopted on September 15, 2011 (the "Series 2011 Resolution") providing for the issuance of the District's Water Revenue Refunding Bonds, Series 2011, dated October 9, 2011 (the"Series 2011 Bonds"); (e) the Resolution of the District providing for the issuance of the Series 2014 Note; and 4839-3548-5472.2
