Any director may resign at any time by giving written notice to the <br /> president or to the secretary of TC. Such resignation shall take effect at the time <br /> specified therein, and unless otherwise specified therein, the acceptance of such <br /> resignation shall not be necessary to make it effective. A director who fails to attend <br /> three regularly scheduled meetings of the Board within any calendar year may, in <br /> the discretion of the Board, be deemed to have resigned. <br /> 4.9 Vacancies. Any vacancy occurring in the Board of Directors resulting from the <br /> resignation or removal of an existing director may be filled by the affirmative vote <br /> of a majority of the remaining directors though less than a quorum, or by the <br /> members at a meeting called for that purpose. A director elected to fill a vacancy <br /> resulting from a resignation or removal of an existing director shall be elected for the <br /> unexpired term of his or her predecessor in office.
