4.6 Initial Directors. The initial members of the Board of Directors, and their terms of

4.7 Removal. Directors may be removed as follows:
4.7.1 The voting members may remove one or more directors, with or without
cause, at a meeting called for the purpose of removing that director; the
meeting notice shall state that the purpose, or one of the purposes, of the
meeting is removal of the.di-rector. ,:__ _._ __.
4.7.2 A director elected by the Board of Directors may be removed with or without
cause by the vote of a majority of the directors then in office; except that a
director elected by the Board of Directors to fill the vacancy of a director
elected by the voting members may be removed without cause by the voting
members, but not the Board of Directors.
4.8 Resignation. Any director may resign at any time by giving written notice to the
president or to the secretary of TC. Such resignation shall take effect at the time
specified therein, and unless otherwise specified therein, the acceptance of such
resignation shall not be necessary to make it effective. A director who fails to attend
three regularly scheduled meetings of the Board within any calendar year may, in
the discretion of the Board, be deemed to have resigned.
4.9 Vacancies. Any vacancy occurring in the Board of Directors resulting from the
resignation or removal of an existing director may be filled by the affirmative vote
of a majority of the remaining directors though less than a quorum, or by the
members at a meeting called for that purpose. A director elected to fill a vacancy
resulting from a resignation or removal of an existing director shall be elected for the
unexpired term of his or her predecessor in office. Vacancies resulting from an
increase in the number of directors shall be filled by the members at the next annual
meeting or a special meeting of the members called for that purpose. •
