• <br /> other good and valuable consideration, the receipt and sufficiency of which are hereby <br /> acknowledged, the Members hereto agree as follows: - <br /> ARTICLE I <br /> DEFINITIONS AND CONSTRUCTION <br /> Section 1.01. Definitions. In this Agreement, capitalized terms not otherwise defined <br /> shall have the meanings respectively assigned thereto in the Recitals to this Agreement or as <br /> provided in this Section 1.01,unless the context clearly requires a different meaning: <br /> "Agreement" means this Intergovernmental Agreement for Stormwater Cooperation and • <br /> Management and any amendments hereto. <br /> "Authority"means the Boxelder Basin Regional Stormwater Authority. <br /> "Boxelder Project" means acquisition and construction of the Project Improvements <br /> described in the Plan. <br /> "City"means the City of Fort Collins, Colorado. <br /> "County" means Larimer County,Colorado. <br /> "Directors"means the members of the Authority's Board of Directors. <br /> "Fiscal Year"means the calendar year. <br /> "Flood Insurance Study" means the official report in which the Federal Emergency <br /> Management Agency ("FEMA") has provided flood profiles, as well as the Flood Boundary- <br /> Floodway Map and water surface elevation of the base flood, in all or a part of the Service Area. <br /> "Member"means the City, the County,the Town and any additional member government <br /> added as a party to this Agreement by amendment after the date hereof. <br /> "Operation and Maintenance" means the ongoing maintenance, operation, repair and <br /> replacement of the Project Improvements. • <br /> "Plan" means the Boxelder Creek Regional Stormwater Master Plan dated October 2006, <br /> together with any amendments thereto approved by a unanimous vote of the Members. <br /> "Project Improvements" means, without limitation, detention areas or flood storage <br /> facilities; reservoirs; open channels; irrigation canal overflow or spill structures; diversion or <br /> confinement berms; utility relocations; road and railroad crossing structures; water quality <br /> enhancement features; and landscaping of disturbed areas, to the extent contemplated by the <br /> Plan. <br /> 4 • <br /> • <br />
