The Town's Water Utility has <br /> been approved for a loan, the contract number for which is set forth above. I understand that <br /> CWCB requires an attorney's opinion as set forth in Section 7 of the Loan Contract. In order to <br /> satisfy this requirement, it is my opinion, based upon reasonable inquiry, that the following is <br /> true: <br /> 1. The Loan Contract has been duly executed by officers of the Town who are duly elected <br /> or appointed and are authorized to execute the Loan Contract and bind the Town. <br /> 2. The Town Board Resolution authorizing the execution and delivery of the Loan Contract <br /> was duly adopted by the Town Board. <br /> 3. There are no provisions in the Colorado Constitution or any other state or local law that <br /> prevent this Loan Contract from binding the Town's Water Utility. <br /> 4.
