Any property,plans and specifications, reports, studies,photographs,negatives or other <br /> documents or drawings acquired or prepared by Contractor in the performance of its <br /> obligations under this contract shall be the exclusive property of the appropriate participant <br /> in the UCRIP or SJRIP. The State through its participation in the UCRIP and SJRIP will <br /> concur with the distribution of such items. All items deemed to belong to the State shall be <br /> delivered to the State by the Contractor upon completion, termination, or cancellation of <br /> this contract. Contractor shall not use, willingly allow, or cause to have such items or <br /> materials used for any purpose other than the performance of contractor's obligations under <br /> this contract without the prior written consent of the UCRIP or SJRIP and the State. The <br /> Foundation or its subcontractors will not maintain any rights or ownership in such property <br /> or materials. <br /> 13. INTEGRATION OF UNDERSTANDINGS <br /> This agreement is intended as the complete integration of all understandings between the <br /> parties. No prior or contemporaneous addition, deletion, or other amendment hereto shall <br /> have any force or effect whatsoever, unless embodied herein in writing. No subsequent <br /> novation,renewal, addition, deletion, or other amendment hereto shall have any force or <br /> effect unless embodied in a written contract or contract amendment executed and approved <br /> pursuant to the State Fiscal Rules. <br /> 14. SEVERABILITY <br /> To the extent that this contract may be executed and performance of the obligations of the <br /> parties maybe accomplished within the intent of the contract, the terms of this contract are <br /> severable, and should any term or provision hereof be declared invalid or become <br /> inoperative for any reason, such invalidity or failure shall not affect the validity of any other <br /> term or provision hereof. The waiver of any breach of a term hereof shall not be construed <br /> as waiver of any other term. <br /> 15. ASSIGNMENT <br /> Neither party may assign its rights or duties under this contract without the prior written <br /> consent of the other party and the UCRIP or SJRIP. <br /> 16. BINDING ON SUCCESSORS <br /> Except as herein otherwise provided, this agreement shall inure to the benefit of and be <br /> binding upon the parties hereto and their respective successors and assigns. <br /> 17, SUBCONTRACTORS <br /> The Contractor shall be permitted to subcontract portions of the tasks delineated herein, <br /> provided written approval is secured in advance from the State and the UCRIP and SJRIP. <br /> Summaries of work undertaken by subcontractors shall be submitted on a quarterly basis by <br /> the Contractor to the State. <br /> 18. TERMINATION OF THE CONTRACT <br /> 11 <br />
