/ <br />EXHIBIT “A” <br />AMENDED ARTICLES OF INCORPORATION 1 <br />OF THE BOULDER AND LARIMER COUNTY IRRIGATING <br />AND MANUFACTURING DITCH COMPANY <br />This Corporation was originally established by the citi— <br />zens of Little Thompson,Larimer County,Colorado Territory on <br />January 1,1875.The original corporate documents were filed with1.~ <br />the Secretary of the Territory on January 16,1875. <br />These amended Articles of Incorporation supersede alt <br />Articles of Incorporation and Articles of Amendment in conflict <br />herewith <br />ARTICLE I NAME <br />The name of this Corporation shall be The Boulder and <br />Larimer County Irrigating and Manufacturing Ditch Company. <br />ARTICLE II.DURATION <br />The duration of The Boulder and Larimer County Irrigàtin <br />and Manufacturing Ditch Company shall be perpetual.1. <br />ARTICLE III.PURPOSES <br />This Corporation is organized and operated pursuant to <br />Colorado Revised Statutes,1973,Title 7,Article 42,Ditch and ~ <br />Reservoir Companies.The purposes for which The Boulder and <br />Larimer County Irrigating and Manufacturing Ditch Company is or— <br />ganized are:4 <br />1.To own and operate an irrigation system in Boulder <br />and Larimer Counties,Colorado,and in connection therewith to own <br />control,maintain,and operate irrigation ditches,laterals,irri— <br />gation reservoirs,dams,headgates,flumes,weirs,and to own, <br />control,and operate irrigation water rights and decrees and other <br />property of a complete irrigation system;to divert,store,mea—4. <br />sure.and distribute irrigation water,both direct and storage <br />water,other water rights,priorities,decrees now owned and con—~: <br />trolled by The Boulder and Larimer County Irrigating and Manufac— <br />turing Ditch Company or hereafter acquired by it,and in general <br />:~.-~~-~--ir’~th~
