BYLAWS <br />OF <br />TheFisherDitchCompany <br />(aColoradoMutualDitchCompany) <br />ARTICLEI.IDENTIFICATION <br />Section1.01TheprincipalofficeoftheCompanyshallbeDenver,Colorado. <br />Section1.02ThepurposeoftheCompanyshallbeasstatedintheArticlesofIncorporation <br />andanyamendmentsthereto,filedwiththeColoradoSecretaryofState. <br />ARTICLEII.SHAREHOLDERS <br />Section2.01AnnualMeeting.TheannualmeetingoftheshareholdersoftheCompanyshall <br />beinsuchplaceastheBoardofDirectorsmaydesignate,duringthelasttwoweeksofJanuaryor <br />firsttwoweeksofFebruary,eachyearonthedateandatthetimesetbyaresolutionoftheBoard <br />ofDirectorsforthepurposeofelectingtheBoardofDirectorsandforthetransactionofany <br />otherbusinesswhichmayproperlycomebeforeit. <br />Section2.02SpecialMeeting.Specialmeetingsoftheshareholdersmaybecalledatanytime <br />bytheBoardofDirectorsoruponthewrittendemandofshareholdersrepresentingatleast20% <br />ofthevotesentitledtobecastonanyissuetobeconsideredataspecialmeetingofthe <br />shareholders. <br />Section2.03NoticeofMeeting.Noticeofallshareholders'meetingsshallbegivenbythe <br />SecretaryoftheCompanynotmorethanthirty(30)daysandnotlessthanten(10)dayspriorto <br />themeetingbymailingnoticeofthemeeting'sdate,time,placeandpurpose(inthecaseof <br />specialmeetings)tothelastknownaddressofeachshareholderasitappearsintherecordsofthe <br />Company. <br />Section2.04ActionwithoutaMeeting.Anyactionrequiredorpermittedtobetakenata <br />shareholders'meetingmaybetakenwithoutameetingbyobtainingtheunanimouswritten <br />consentofallshareholders. <br />Section2.05Quorum.Aquorumforthetransactionofbusinessatanymeetingofthe <br />shareholdersshallconsistofthoseshareholdersholdingamajorityofallissuedandoutstanding <br />sharesoftheCompany. <br />Section2.06Voting.Atanyshareholders'meeting,eachshareholdershallbeentitledtocast <br />onevoteforeachshareofstockofwhichhe/sheistheownerofrecordasoftherecorddatefor <br />anyshareholders'meeting.Votesmaybecastinpersonorbyproxy.Eachproxyshallbein <br />writing,signedbytheshareholderanddeliveredtotheSecretaryoftheCompany. <br />Revised1/26/2009
