Articles of Incorporation Of The Zweck and Turner Ditch Company The undersigned persons acting as incorporators of a nonprofit mutual ditch company under the Colorado Revised Nonprofit Corporation Act hereby adopt, execute, acknowledge, and deliver in duplicate to the Secretary of State of Colorado the following Articles of Incorporation: ARTICLE I Name The name of the corporation is The Zweck and Turner Ditch Company (the “Company”). ARTICLE II Duration The corporation shall have perpetual existence. ARTICLE III Purposes and Powers Section 1. Purpose. The Company is formed for the purpose of operating and maintaining the approximately 6 miles long Zweck and Turner Ditch which includes a headgate in the North ½ of Southeast ¼ of Section 36, T3N, R70W, 6th PM, Boulder County, Colorado (the “Ditch”) and any other water supply improvements constructed or managed by the Company by the agreement of the shareholders. Section 2. Restrictions on Powers. No part of the net earning of the Company shall inure to the benefit of any director or officer of the Company, or any private individual (except that the Company shall be authorized and empowered to pay reasonable compensation for services rendered to or for the corporation and to make payments and distributions in furtherance of the purposes set forth in Section 1 of Article III), and no director or officer of the Company, or any private individual shall be entitled to share in any distribution of any of the corporate assets on dissolution of the Company or otherwise. On dissolution of the Company, the assets of the Company shall be distributed amongst the members in proportion to the members’ shares. ARTICLE IV Registered Office and Agent The address of the registered office of the Company in Colorado is 105 S Sunset St Longmont Co 80501, and the name of its registered agent at such address is Reginald V. Golden.
