Farr <br /> December 18, 2013 <br /> Anna Mauss <br /> Colorado Water Conservation Board <br /> Water Project Loan Program <br /> 1580 Logan Street, Suite 600 <br /> Denver, CO 80203 <br /> Re: Huerfano County Water Conservancy District <br /> CWCB Contract No. C 1 50364 <br /> Dear Anna: <br /> We are attorneys admitted to practice in the State of Colorado and we have acted as <br /> counsel to the Huerfano County Water Conservancy District(HCWCD)to enter into Loan <br /> Contract No.C-1 50364 with the Colorado Water Conservation Board ("CWCB"),and have <br /> acted as such in connection with the authorization, execution and delivery by HCWCD of <br /> the Loan Contract and the related Loan Documents. In connection with that <br /> representation, it is our opinion that: <br /> I. The Loan Contract and applicable Loan Documents have been duly executed <br /> by the officers of HCWCD who are duly appointed and are authorized to <br /> execute the contract and to bind HCWCD. <br /> 2. The resolution of HCWCD authorizing the execution and delivery of the <br /> contract and the related Loan Documents necessary to fully document and <br /> implement the Loan terms were duly adopted by the Board of Directors of <br /> HCWCD at a public meeting held on December 2, 2013 and conducted with <br /> proper notice. <br /> 3.
