Blair <br /> and <br /> Associates P.C. <br /> CERTIFIED PUBLIC ACCOUNTANTS AND CONSULTANTS <br /> Parity Debt <br /> Town of Rldgway,Colorado <br /> Acting by and Through its Water Activity Enterprise <br /> Loan Contract with Colorado Water Conservation Board <br /> Dated September 28,2012 <br /> The undersigned, by and on behalf of Blair & Associates, PC, Certified Public Accountants, <br /> Cedaredge, Colorado, in connection with the execution and deliver by Town of Ridgway, <br /> Colorado, acting by and through its Water Enterprise (as so acting, the "Town"), of the Loan <br /> Contract dated as of July 9, 2013, (the "2013 CWCB Loan Contract"), between the Town and <br /> the Colorado Water Conservation Board, (the "CWCB") and the execution and delivery by the <br /> Town to the CWCB pursuant to the 2013 CWCB Loan Contract #C150340 of the Promissory <br /> Note dated as of July 9, 2013, (the "2013 CWCB Note" and collectively with the 2013 CWCB <br /> Loan Contract #C150340 the 2013 CWCB Financing Documents"), hereby certifies as follows <br /> (capitalized words and phrases used herein shall have the same meaning as set forth in the <br /> 2013 CWCB Financing Documents, the resolution adopted by the Town Council of the Town, <br /> acting as the governing body of the Water Activity Enterprise, on August 14, 2013, authorizing <br /> the execution and delivery of the 2013 CWCB Financing Documents (the 2013 CWCB <br /> Approving Resolution): <br /> 1) We are independent certified public accountants with respect to Town of Ridgway, <br /> Colorado and its Utility System under rule 101 of the AICPA's Code of Professional <br /> Conduct, and its interpretations and rulings. <br /> 2) The Town has provided us with unaudited financial information which permits us to <br /> calculate Net Revenue for the 12-month period ending January 31, 2013. The Town has <br /> also provided us with copies of the following documents: <br /> (a) Energy/Mineral Impact Assistance Loan Project # 05394 beginning <br /> September 1, 2007, from the Town to DOLA; <br /> (b) Colorado Water Rural Power Development Authority beginning January 1, <br /> 2010 from the Town to CWRPDA; <br /> (c) July 2013 Colorado Water Conservation Board Loan #C150340 Loan <br /> Contract. <br /> 3) The Town has represented to us that, upon the execution and delivery of the 2013 <br /> CWCB Financing Documents on August 14, 2013, the outstanding Parity Obligations, <br /> consisting of the 2007 EIA Note, the 2010 Bond, and the 2013 Water Conservation <br /> Board Note, represent the only outstanding indebtedness having a lien on the Net <br /> Revenue of the Water Activity Enterprise Fund. <br /> 4) Based upon representations made to us by the Town, as of the date of this Certificate, <br /> the Town is current in the accumulation of all amounts required by the loans and bond <br /> Resolutions to be accumulated in the Board Account and the Reserve Account. <br /> Coll ice P.Blair, Jr.,CPA, CFE 105 S.E.
